1. Agreement to These Terms
These Terms & Conditions (these "Terms") form a legally binding agreement between you ("you" or "your") and Oriah Wellness LLC ("Oriah," "we," "us," or "our"), the company that operates the website located at oriahwellness.com and the related online platform, mobile experiences, content, communications, and features we make available (collectively, the "Services"). Through the Services, Oriah provides a technology platform and non-clinical, administrative support that helps connect you with independent, state-licensed healthcare providers offering personalized wellness programs, which may include weight management, longevity and healthy-aging protocols, hormone optimization, and sexual health care. These Terms govern your access to and use of the Services. Please read them carefully and keep a copy for your records.
By accessing, browsing, registering for, or otherwise using the Services in any way — including by clicking a button or checking a box indicating your acceptance — you acknowledge that you have read, understood, and agree to be bound by these Terms and by all documents they incorporate by reference. If you do not agree to these Terms, you must not access or use the Services.
By using the Services, you represent and warrant that you are a resident of the United States, that you are at least eighteen (18) years of age, and that you have the legal capacity to enter into a binding contract. The Services are intended only for U.S. residents and are not directed to, or available for use by, individuals outside the United States. If you are using the Services on behalf of another person or entity, you represent that you are authorized to accept these Terms for that person or entity.
Documents Incorporated by Reference
These Terms incorporate the following documents by reference, and your use of the Services is also subject to each of them:
- Our Privacy Policy, which describes how we collect, use, disclose, and protect your information;
- Our Telehealth Informed Consent, which governs the clinical relationship between you and the independent, state-licensed healthcare providers and affiliated professional medical groups who deliver care through the platform; and
- Any product-specific, subscription, supplemental, or point-of-sale terms, notices, or policies we present to you at the time of enrollment, purchase, or use, which are made a part of these Terms.
Oriah operates the technology platform and provides non-clinical, administrative support only. Oriah does not practice medicine, does not provide medical advice, and does not engage in the dispensing of medications. All consultations, diagnoses, treatment decisions, and prescriptions are made by independent, state-licensed healthcare providers and affiliated professional medical groups in the exercise of their independent professional judgment, and any provider–patient relationship is with those providers and not with Oriah. Prescribed medications are dispensed by licensed U.S. pharmacies. The terms governing the clinical relationship are set out in the Telehealth Informed Consent.
The Services are offered on a cash-pay basis only. Oriah does not accept commercial health insurance or any federal or state healthcare program, including Medicare and Medicaid, and no charges for the Services are submitted to or reimbursable by any such payor.
Important Provisions That Affect Your Legal Rights
These Terms also include provisions that authorize us to contact you by text message (SMS), including how you give and withdraw your consent and the message-and-data-rate and other terms that apply. By providing your mobile number and using the Services, you agree to the SMS terms set out in these Terms. In addition, many of our products are sold on an auto-renewing subscription basis: you will be charged on a recurring basis each billing cycle, including if you do not use all of the Services in a given cycle, unless and until you cancel before the applicable cutoff. Please review the auto-renewal, billing, and cancellation provisions of these Terms before enrolling.
Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will revise the "Last Updated" date and, where required, provide additional notice. The Effective Date of these Terms is June 24, 2026. Your continued access to or use of the Services after any revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services. 2. About Oriah and the Services
Oriah Wellness LLC ("Oriah," "we," "us," or "our") operates the website located at oriahwellness.com, together with any related mobile applications, subdomains, content, features, tools, and online functionality we make available (collectively, the "Platform"). Through the Platform, Oriah provides technology and non-clinical administrative services that help connect U.S. residents with independent, state-licensed healthcare providers and the affiliated professional medical groups with which those providers are associated, as well as with licensed U.S. pharmacies that may dispense medications (collectively with the Platform, the "Services").
The Services include, among other things: hosting and operating the Platform and your account; presenting educational and wellness content; collecting and securely transmitting the intake, health history, and other information you provide; facilitating asynchronous and, where offered, synchronous communications between you and the providers; coordinating scheduling, messaging, refills, and order logistics; and processing payments and subscriptions. These are technology, communications, and administrative functions. They are not, and should not be understood as, the practice of medicine.
Oriah Is a Technology and Administrative Platform, Not a Medical Provider
Oriah is a technology company. Oriah does not practice medicine, nursing, pharmacy, or any other licensed profession; does not provide medical, clinical, diagnostic, or treatment advice; and does not dispense medications. Oriah does not employ the providers who deliver clinical care through the Platform, and Oriah does not control, direct, or influence their independent clinical judgment.
All consultations, evaluations, diagnoses, treatment decisions, prescriptions, and other clinical services are provided solely by independent, state-licensed healthcare providers and their affiliated professional medical groups, each exercising their own independent professional judgment in accordance with applicable laws and professional standards. Any provider–patient relationship is formed exclusively between you and the treating provider or medical group, and not with Oriah. Medications, where appropriate and prescribed, are dispensed by licensed U.S. pharmacies, which are likewise independent of Oriah.
The clinical relationship between you and your providers is separately governed by the Telehealth Informed Consent, which you must review and agree to before receiving any clinical services. Your privacy and the handling of your information are described in our Privacy Policy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Telehealth Informed Consent regarding the clinical relationship, the Telehealth Informed Consent controls as to clinical matters.
Service Categories
Subject to provider evaluation, eligibility, and availability in your state, the providers and medical groups accessible through the Platform may offer personalized, physician-supervised protocols across the following wellness and telehealth categories:
- Weight management — physician-supervised GLP-1 protocols, which may include compounded semaglutide and compounded tirzepatide.
- Longevity and healthy aging — peptide and related protocols, which may include NAD+, sermorelin, ipamorelin, and BPC-157.
- Hormone therapy — testosterone optimization and TRT, which may include testosterone cypionate.
- Sexual health — treatments for erectile dysfunction, which may include sildenafil and tadalafil.
Where offered, care is personalized based on your intake information and, where clinically indicated, laboratory bloodwork, and is supervised by board-certified physicians. Whether any particular product, protocol, or treatment is appropriate, available, or offered to you is determined solely by the treating provider in their independent clinical judgment. Nothing on the Platform is a guarantee that any specific medication, dosage, or protocol will be prescribed or made available, and the descriptions above are illustrative of the categories of care facilitated through the Platform rather than a promise of any particular result or outcome. Compounded medications referenced above are prepared by licensed compounding pharmacies and are not approved by the U.S. Food and Drug Administration; the decision to prescribe any compounded medication rests solely with your treating provider.
Eligibility, Geography, and Payment
The Services are intended only for residents of the United States who are at least 18 years of age. By accessing or using the Services, you represent and warrant that you meet these requirements. Availability of specific providers, products, and protocols varies by state and may change at any time. The Services are cash-pay only. Oriah does not accept commercial health insurance and does not participate in or accept payment from any federal or state healthcare program, including Medicare and Medicaid. Amounts you pay for the Services are not reimbursable by, and may not be submitted to, any such program, and you are solely responsible for all charges associated with your use of the Services.
Many of Oriah's offerings are sold on auto-renewing subscriptions that automatically renew and bill to your payment method each billing cycle until you cancel. Subscription, billing, renewal, and cancellation terms — including how and when to cancel before your next renewal date to avoid being charged — are described in detail elsewhere in these Terms, and you should review them carefully before enrolling.

3. Eligibility and Age Requirements
Access to and use of the services made available through oriahwellness.com (the Services) is subject to the eligibility requirements set forth in this Section. By creating an account, completing an intake questionnaire, requesting a consultation, or purchasing any product or subscription, you represent and warrant that you satisfy each of these requirements at the time of use and that you will continue to satisfy them for as long as you use the Services. These eligibility requirements are in addition to, and separate from, any clinical eligibility criteria established by the independent, state-licensed healthcare providers and affiliated professional medical groups who deliver clinical care through the platform.
Age Requirement
The Services are intended solely for adults. You must be at least eighteen (18) years of age to create an account, communicate with providers, or order any product through Oriah. We do not knowingly offer the Services to, collect information from, or provide products to, anyone under the age of 18. If we learn that an individual under 18 has registered for or used the Services, we may suspend or terminate the associated account and cancel any pending order or auto-renewing subscription. For information about how we handle personal information, including information relating to minors, please review our Privacy Policy.
U.S. Residency and Legal Capacity
The Services are offered only to natural persons who are residents of the United States and who are physically located in the United States at the time they access or use the Services. Oriah does not market, sell, or ship products outside of the United States, and the Services are not directed to individuals located in any jurisdiction where the offering, provision, or use of the Services would be contrary to applicable law. You are responsible for providing accurate residency and location information, and you agree not to use any technology or method, including any virtual private network, proxy, or similar tool, to misrepresent or disguise your location.
You further represent that you have the legal capacity and authority to enter into a binding agreement under the laws of the United States and your state of residence, that you are not barred from receiving the Services under applicable law, and that you will use the Services only for your own personal, lawful purposes and not on behalf of any other person. You may not create an account or order products for, or otherwise provide the Services to, another individual, and you may not resell, redistribute, or transfer any product or medication obtained through the Services.
State Availability
Because the Services involve telehealth and the dispensing of medications by licensed U.S. pharmacies, availability varies by state and is subject to state-specific licensing, regulatory, and clinical requirements. Some Services, products, or treatment protocols may not be available in your state, may be available only on different terms, or may be added, modified, suspended, limited, or withdrawn at any time without prior notice. The fact that a Service or product is described on oriahwellness.com does not guarantee that it is available to you. Eligibility to receive a particular medication, including any physician-supervised GLP-1 protocol (such as compounded semaglutide or compounded tirzepatide), peptide or longevity protocol, hormone therapy, or sexual health treatment, is determined by the applicable state in which you reside and by the licensed providers and pharmacies serving that state.
Clinical Eligibility Determined by Providers
Meeting the general eligibility requirements in this Section does not entitle you to receive any consultation, diagnosis, prescription, or medication. All clinical eligibility is determined solely by the independent, state-licensed healthcare providers and affiliated professional medical groups, in their sole professional judgment, based on your medical history, intake responses, bloodwork or other laboratory results, and applicable standards of care. Certain treatments carry additional clinical eligibility criteria, and providers may decline to offer a particular treatment, may require additional testing or monitoring, or may discontinue treatment at any time for clinical reasons. Oriah operates the technology platform and provides non-clinical, administrative support only; Oriah does not practice medicine, does not provide medical advice, and does not make clinical eligibility determinations. The provider-patient relationship is between you and your provider, not Oriah, and is further governed by the separate Telehealth Informed Consent.
Additional Requirements; Refusal and Discontinuation of Service
Oriah may establish, change, or impose additional eligibility requirements, verification procedures, or conditions of access at any time, including identity, age, residency, or payment-eligibility verification. The Services are offered on a cash-pay basis only; Oriah does not accept commercial insurance or any federal or state healthcare program, including Medicare and Medicaid, and the use of such coverage to pay for the Services is not permitted. You are responsible for all fees associated with the Services, including amounts charged under any auto-renewing subscription as described elsewhere in these Terms.
To the fullest extent permitted by applicable law, Oriah reserves the right, in its sole discretion and without liability, to refuse, restrict, suspend, or discontinue the Services, decline or cancel any order, or close any account, including where: you do not meet or no longer meet the eligibility requirements set out in this Section; the information you provide is inaccurate, incomplete, or cannot be verified; we suspect fraud, abuse, or unlawful or prohibited use; or such action is necessary to comply with applicable law or the requirements of providers or pharmacies. Refusal or discontinuation of administrative access by Oriah is separate from, and does not constitute, a clinical decision by a provider.

4. Account Registration and Security
To access most features of the Platform, including requesting consultations with the independent, state-licensed healthcare Providers who deliver care through the Platform, ordering medications prescribed by those Providers and dispensed by licensed U.S. pharmacies, and managing your subscriptions, you must register for and maintain an Account with Oriah. Accounts are available only to natural persons who are residents of the United States and who are at least eighteen (18) years of age. You may not register for or maintain an Account on behalf of another person, and you may not create an Account using false, misleading, or another person's information. Oriah operates the technology Platform and provides non-clinical, administrative support only; Oriah does not practice medicine, and your Account does not create a provider–patient relationship with Oriah.
Accurate and Current Information
When you register, and at all times while you use the Platform, you agree to provide information that is accurate, current, and complete, and to promptly update your Account so that it remains accurate, current, and complete. This includes your legal name, date of birth, residential and shipping address, email address, mobile telephone number, payment information, and any health-related information you submit, such as the bloodwork and medical history used to personalize your weight-loss, longevity, hormone, or sexual-health protocol. Because the independent Providers rely on the information in your Account and on the Platform to make clinical decisions, and because licensed pharmacies rely on it to dispense and ship medications, providing inaccurate, outdated, or incomplete information may delay, limit, or prevent your care, may result in medication being sent to the wrong location, and may pose risks to your health. You are solely responsible for the consequences of any information you fail to keep accurate and current.
Safeguarding Your Credentials
You are responsible for selecting a strong, unique password and for maintaining the confidentiality and security of your Account username, password, and any other login or authentication credentials (collectively, your Credentials). You agree not to disclose your Credentials to any third party, not to reuse passwords associated with other services, and to take reasonable steps to prevent unauthorized access to your Account, including logging out at the end of each session and securing the devices through which you access the Platform. We may, but are not obligated to, require multi-factor authentication or other security measures, and you agree to cooperate with such measures.
Responsibility for Account Activity
You are responsible for all activity that occurs under your Account, whether or not you authorized that activity, including all consultations requested, orders placed, subscriptions created or renewed, payments incurred, and communications sent. Any person who accesses the Platform using your Credentials will be presumed to be you or to be acting with your authorization. You acknowledge that charges, including recurring auto-renewing subscription charges billed each billing cycle even if you do not use all of the services in that cycle, may be incurred through your Account and that you remain responsible for them as provided in these Terms.
Notice of Unauthorized Use
You agree to notify Oriah immediately at support@oriahwellness.com if you know of or suspect any unauthorized access to or use of your Account or Credentials, any loss or theft of your Credentials, or any other breach of security relating to your Account. To the fullest extent permitted by law, Oriah will not be liable for any loss or damage arising from your failure to safeguard your Credentials or from your failure to notify us promptly of unauthorized use. Following such a notice, we may take reasonable steps to investigate and to secure your Account, including resetting your Credentials or temporarily suspending access.
No Account Sharing
Your Account is personal to you and may not be shared, sold, transferred, assigned, or otherwise made available to any other person. Each individual who wishes to obtain services through the Platform must register for and maintain a separate Account. Sharing an Account, or using another person's Account, is strictly prohibited and may compromise the integrity of clinical decisions made by the independent Providers, the dispensing of medications by licensed pharmacies, and your health and the health of others.
Device and Access Requirements
You agree to access the Platform only through devices and software that you are authorized to use and that have not been jailbroken, rooted, modified, or otherwise altered in a manner that circumvents security controls or the intended operation of the Platform or your operating system. You are responsible for maintaining the security of your devices, including by keeping operating systems and applications up to date and protected against malware. We may restrict or deny access from devices or environments that we reasonably determine to be insecure, compromised, or non-compliant with these requirements.
Suspension and Termination
We may, in our sole discretion and without prior notice, suspend, restrict, deactivate, or terminate your Account or your access to all or part of the Platform if we believe that you have violated these Terms, the Privacy Policy, the Telehealth Informed Consent, or any applicable law; that your Account information is inaccurate, fraudulent, or incomplete; that your Account has been or may be compromised; that your continued access poses a risk to Oriah, to the independent Providers, to licensed pharmacies, to other users, or to you; or for any other lawful reason, including prolonged inactivity. Suspension or termination of your Account does not relieve you of any payment obligations incurred before such action, and it does not by itself terminate your relationship with your Providers, which is governed by the Telehealth Informed Consent and applicable law. You may close your Account at any time by contacting support@oriahwellness.com; however, because Oriah's services are offered on a cash-pay basis and many are sold on auto-renewing subscriptions, closing your Account does not automatically cancel active subscriptions, which must be canceled separately and within the time period described in these Terms to avoid further charges.
5. Telehealth Services and Informed Consent
Oriah Wellness LLC ("Oriah," "we," "us," or "our") operates a technology platform that connects you with independent, state-licensed healthcare providers and affiliated professional medical groups. As more fully described in these Terms, Oriah itself does not practice medicine, does not provide medical advice, and does not establish a provider–patient relationship with you. Oriah's role is limited to providing the technology platform and non-clinical, administrative support. All consultations, evaluations, diagnoses, prescriptions, and other medical decisions are made solely by the independent providers, and any medications are dispensed by licensed U.S. pharmacies. The clinical services available through oriahwellness.com are delivered by those independent providers using telehealth.
What Telehealth Is
Telehealth (also called telemedicine) means the delivery of healthcare services and the exchange of medical information using interactive audio, video, secure messaging, online intake questionnaires, and other electronic communications technologies, where you and your provider are in different physical locations. Through the Oriah platform, telehealth may be used by your provider to gather your health history and bloodwork, evaluate whether a given protocol is appropriate for you, issue or decline to issue prescriptions, provide follow-up and monitoring, and otherwise manage your care across our weight loss (including physician-supervised GLP-1 protocols such as compounded semaglutide and compounded tirzepatide), longevity and anti-aging (including peptide protocols such as NAD+, sermorelin, ipamorelin, and BPC-157), hormone therapy (including TRT and testosterone optimization), and sexual health (including ED treatments such as sildenafil and tadalafil) offerings. Some interactions occur in real time ("synchronous"), and others occur through the review of information you submit ("asynchronous" or "store-and-forward").
Eligibility
Telehealth services available through the platform are offered only to residents of the United States who are at least 18 years of age and who are seeking care for themselves. Services are provided on a cash-pay basis only; Oriah and the independent providers do not accept commercial insurance or any federal or state healthcare program, including Medicare and Medicaid. You agree that you will not submit, and are not entitled to submit, any charge for these services to any insurer or government healthcare program for reimbursement. By using the clinical features of the platform, you represent and warrant that you meet these eligibility requirements and that the information you provide about your identity, residency, age, and health is true, accurate, and complete.
Separate Telehealth Informed Consent Required
Before any provider can evaluate you or deliver clinical services, you must separately review and agree to Oriah's Telehealth Informed Consent, which governs the clinical relationship between you and your independent healthcare provider. The Telehealth Informed Consent is a distinct document from these Terms & Conditions and contains important information about the nature of telehealth care, your rights and responsibilities as a patient, and the limitations of remote care. By using the clinical features of the platform, you represent that you have read, understood, and agreed to the Telehealth Informed Consent, and that you are a U.S. resident at least 18 years of age seeking care for yourself. In the event of any conflict between these Terms and the Telehealth Informed Consent with respect to the clinical relationship, the Telehealth Informed Consent controls as to that clinical relationship.
Potential Benefits of Telehealth
Telehealth may offer a number of benefits, although outcomes vary by individual and are not guaranteed. Potential benefits include:
- Improved access to licensed providers without the need to travel to a physical office;
- Greater convenience, flexibility, and privacy in obtaining evaluation, treatment, and follow-up care;
- More efficient sharing of your health history, bloodwork, and other information with your provider; and
- The ability to receive ongoing monitoring and adjustments to a personalized protocol over time.
Potential Risks and Limitations of Telehealth
Telehealth also carries inherent risks and limitations that you should understand and accept before receiving care. These include, without limitation:
- Because your provider cannot conduct a hands-on physical examination, certain conditions may go undetected or may be evaluated less precisely than during an in-person visit;
- Information you provide may be incomplete or inaccurate, which could affect the assessment, the appropriateness of a protocol, or your provider's clinical decisions;
- Delays in evaluation, treatment, or follow-up could occur due to technology failures, connectivity problems, or other factors beyond Oriah's or your provider's control;
- In rare cases, a recommended treatment may be ineffective for you or may produce adverse effects, including reactions that might be identified or managed more readily during in-person care; and
- Your provider may determine that telehealth is not appropriate for your situation and may decline to provide services or may direct you to seek in-person or emergency care.
Not a Substitute for In-Person Care in All Cases
Telehealth services provided through the platform are not appropriate for every condition or circumstance and are not a substitute for in-person medical care in all cases. The decision to provide care through telehealth rests solely with your independent provider, who may at any time conclude that your needs require an in-person evaluation, laboratory work, imaging, specialist referral, or other care that cannot be delivered remotely. You are responsible for maintaining a relationship with a local healthcare provider and for seeking in-person care when your condition warrants it.
No Guarantee of Outcomes
Neither Oriah nor the independent providers guarantee any particular result, diagnosis, prescription, or outcome from the use of telehealth services. Whether a given protocol is appropriate for you, and whether any prescription is issued, rests entirely within the independent clinical judgment of your provider, who may decline to prescribe or may discontinue treatment at any time. You acknowledge that individual responses to treatment vary and that no representation has been made to you that any treatment will be effective for your particular condition.
Security of Electronic Transmissions
Oriah and the independent providers use reasonable administrative, technical, and physical safeguards designed to protect the confidentiality and security of the information transmitted through the platform. However, no method of electronic transmission or storage is completely secure, and we cannot and do not guarantee that any electronic communication or transmission is 100% secure or free from interception, unauthorized access, or error. There is a risk, however small, that information shared electronically could be accessed by unauthorized parties. By using telehealth services, you acknowledge and accept these inherent risks. Our handling of your personal and health information is further described in our Privacy Policy, which is incorporated into these Terms by reference.
Consent to Electronic Records and Communications
In connection with your clinical care, you consent to the electronic creation, transmission, storage, and delivery of your medical records, prescriptions, lab results, treatment instructions, notices, and other communications between you, your independent providers, the dispensing pharmacies, and the Oriah platform. This includes communications delivered through your secure account, by email, and, where you have separately opted in, by text message. You agree to keep your contact information current, to maintain the confidentiality of your account credentials, and to access your messages and records promptly. You may request information about how to obtain copies of your records or withdraw this consent for future communications by contacting us at support@oriahwellness.com or your provider as described in the Telehealth Informed Consent, though withdrawing consent may limit or prevent your continued use of the telehealth services.
SMS and Text Message Consent
Where you separately opt in, you consent to receive text (SMS) messages from Oriah, the independent providers, or the dispensing pharmacies at the mobile number you provide, including messages relating to your care, appointments, prescriptions, shipments, subscriptions, and account. These messages may be sent using automated technology. Consent to receive marketing texts is not a condition of purchasing any service. Message and data rates may apply, and message frequency varies. You may opt out of text messages at any time by replying STOP to any message, and you may reply HELP for assistance. You acknowledge that standard text messages are not encrypted and that there is a risk, however small, that messages could be read by an unauthorized third party; you agree not to include sensitive health information in text messages and to use your secure account for such communications.

6. Medical Services and Your Provider Relationship
Oriah Wellness LLC ("Oriah") operates the technology platform available at oriahwellness.com (the "Platform") and provides non-clinical, administrative, and technology support services. Oriah does not practice medicine, does not employ or supervise the clinicians who treat you, and does not provide medical advice, diagnosis, or treatment. All consultations, evaluations, diagnoses, treatment decisions, and prescriptions are furnished by independent, state-licensed healthcare providers and the affiliated professional medical groups with which they practice (collectively, "Providers"). This Section explains the relationship between you and your Provider and the limits of Oriah's role. The clinical relationship is governed separately by the Telehealth Informed Consent you accept before receiving care, and our handling of your health information is described in our Privacy Policy.
Providers Are Independent and Exercise Independent Medical Judgment
The Providers who review your information, conduct consultations, and issue prescriptions are independent professionals licensed in the state in which you are located. They are solely responsible for the medical services they provide and exercise their own independent medical judgment in your care. The provider–patient relationship is established between you and your Provider — not with Oriah. Oriah does not own, control, direct, or employ the professional medical groups or the Providers, and nothing on the Platform is a substitute for the professional judgment of a qualified clinician.
Your Provider determines, based on the information you supply, your bloodwork and any other diagnostics, applicable clinical guidelines, and their professional judgment, whether a particular treatment is appropriate for you. This applies across all of our service categories, including physician-supervised weight-management (GLP-1) protocols, longevity and peptide protocols, hormone optimization and testosterone therapy, and sexual-health treatments. A Provider may, in their sole discretion, decline to prescribe any medication or treatment, may recommend an alternative, may require additional information, testing, or follow-up, or may determine that telehealth is not appropriate for your condition. Submitting a request, completing an intake questionnaire, or placing an order does not entitle you to receive any specific medication or treatment, and does not create a provider–patient relationship until a Provider accepts you for care.
Oriah Does Not Influence Clinical Decisions
Oriah does not interfere with, control, or influence the clinical decisions of any Provider. Oriah does not pay or compensate Providers based on the number or type of prescriptions written, and no Provider is required to prescribe any product as a condition of participating on the Platform. The medications prescribed by your Provider are dispensed by independent, licensed U.S. pharmacies. Oriah's role is limited to providing the technology and non-clinical administrative support that helps connect you with Providers and pharmacies and that supports the operation of your account, billing, and subscriptions.
Cash-Pay Services; No Insurance
All services and medications offered through the Platform are cash-pay only. Oriah does not bill, accept, or process commercial health insurance, and does not accept Medicare, Medicaid, or any other federal or state healthcare program. You are responsible for the full cost of the consultations, treatments, and products you receive. Many products are offered on auto-renewing subscriptions; the billing, renewal, and cancellation terms that apply to those subscriptions are set out elsewhere in these Terms, and you should review them before enrolling.
No Guarantee of Treatment or Results
Medical treatment carries inherent risks, including the risk of side effects and adverse reactions. Your Provider will discuss the material risks, benefits, and alternatives relevant to your care, and you should raise any questions or concerns with your Provider before starting, changing, or stopping any treatment.
Your Responsibilities
Safe and appropriate care depends on the accuracy and completeness of the information you provide. By using the Platform and receiving services, you agree that:
- You will provide accurate, current, and complete information about your identity, age, medical history, current medications and supplements, allergies, symptoms, and any other information requested during intake, consultations, and ongoing care, and you will promptly update that information when it changes.
- You will read, follow, and not exceed the dosing, usage, monitoring, and follow-up instructions provided by your Provider and the pharmacy, and you will not share, sell, or transfer any prescribed medication to any other person.
- You will promptly report to your Provider any side effects, adverse reactions, new symptoms, or changes in your health, and you will complete any bloodwork, lab testing, or follow-up visits your Provider requires.
- You confirm you are a U.S. resident, are at least 18 years of age, and are seeking treatment for yourself.
- You understand that providing false, incomplete, or misleading information may lead a Provider to make decisions that are not appropriate for you, may result in denial of treatment, and may cause harm for which Oriah is not responsible.
You Remain Responsible for Your Overall Care
The services offered through the Platform are intended to address specific, defined health needs and are not a substitute for comprehensive medical care or for an ongoing relationship with a primary care provider. You remain responsible for managing your overall health. We strongly encourage you to establish and maintain a relationship with a local primary care provider, to share information about any treatment you receive through the Platform with your other healthcare professionals, and to seek in-person care when your condition warrants it. Telehealth has inherent limitations, and a Provider may determine that your needs are better served by in-person evaluation.

Legal notices to Oriah must be sent to legal@oriahwellness.com or to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801. These Terms are governed by the laws of the State of Delaware, and were last updated June 24, 2026.
7. Prescriptions and Pharmacy Services
Oriah Wellness LLC ("Oriah") operates a technology platform and provides non-clinical, administrative support. Oriah does not practice medicine, does not prescribe or dispense medication, and does not provide medical advice. Whether any medication is appropriate for you is a clinical decision made solely by an independent, state-licensed healthcare provider (or an affiliated professional medical group) with whom you establish a provider–patient relationship. That decision is governed by your separate Telehealth Informed Consent and by the provider's independent professional judgment, and a provider may decline to prescribe, may discontinue treatment, or may adjust your protocol at any time.
If, and only if, a provider determines that treatment is appropriate and issues a valid prescription, that prescription is transmitted to a licensed U.S. pharmacy for evaluation, dispensing, and fulfillment. The pharmacy independently reviews each prescription and may, in its discretion, decline to fill it. Oriah does not control which pharmacy fills your prescription and does not guarantee that any particular medication, dosage, formulation, strength, or fill date will be available. Services are offered only to U.S. residents who are at least 18 years of age.
All services are cash-pay only. Oriah does not accept commercial insurance or any federal or state healthcare program (including Medicare and Medicaid), and no prescription, medication, or service furnished through the platform may be submitted to any such payor for reimbursement. You are responsible for all amounts charged for the products and services you order.
Authorization to Share Health Information
To enable prescribing and dispensing, you authorize Oriah, your provider, and the dispensing pharmacy to share among themselves the health and personal information reasonably necessary to evaluate, prepare, dispense, ship, and follow up on your treatment, including your prescription, intake responses, relevant bloodwork and clinical information, shipping address, and contact details. This authorization is in addition to, and operates together with, the terms of our Privacy Policy. Information is shared only as needed to provide the services you have requested.
Compounded Medications
Some treatments offered through the platform, including certain GLP-1 weight-loss protocols (for example, compounded semaglutide and compounded tirzepatide) and certain longevity, peptide, hormone, and sexual-health protocols, may be compounded medications. Compounded medications are prepared by a state-licensed compounding pharmacy that combines, mixes, or alters ingredients to create a medication tailored to an individual patient pursuant to a valid prescription. Compounded drugs are not reviewed or approved by the U.S. Food and Drug Administration (FDA) for safety, effectiveness, or manufacturing quality, and they are not the same as the corresponding FDA-approved brand-name products. A provider may prescribe a compounded medication only where clinically appropriate and permitted by law. If you have questions about whether a compounded medication is right for you, discuss them with your provider before starting treatment.
Controlled Substances
Certain treatments, including some hormone-therapy protocols such as testosterone optimization (for example, testosterone cypionate), involve medications that are regulated as controlled substances under federal and state law. These medications are prescribed only where a provider determines, consistent with applicable law and professional standards, that treatment is appropriate, and they are subject to additional dispensing, monitoring, quantity, and refill restrictions. You agree to use any such medication strictly as prescribed and acknowledge that diversion, misuse, or unlawful possession of a controlled substance is a crime and a material violation of these Terms that may result in termination of your access to the platform.
Refills, Substitutions, and Subscriptions
Many treatments are provided on an auto-renewing subscription, and any refills are dispensed only pursuant to a valid prescription and remain subject to the provider's ongoing clinical judgment and the pharmacy's review. A prescription does not guarantee that refills will be authorized or that a subscription will continue. Your provider or pharmacy may substitute a therapeutically appropriate medication, formulation, or strength where clinically suitable and permitted by law. The billing, renewal, cancellation, and refund terms that apply to subscriptions are set forth elsewhere in these Terms and are incorporated here by reference.
Packaging and Safe Storage
Depending on the medication and applicable law, your prescription may ship in packaging that is not child-resistant unless you specifically request child-resistant packaging. You may make such a request by contacting support@oriahwellness.com or through your account before your order ships. Regardless of packaging, you are responsible for storing all medications safely.
Use, Labeling, and No Transfer
Prescription medications are dispensed for your personal use only. You agree to use any medication strictly in accordance with the directions provided by your prescriber and the pharmacy and as set forth on the product labeling, package insert, and any accompanying instructions. You should read all labeling before use and contact your provider or pharmacy with any questions about your medication, its use, or its side effects.
- Do not transfer, give, sell, resell, or otherwise distribute your medication to any other person, including family members.
- Do not take medication that was prescribed for someone else, and do not exceed or alter the prescribed dose, frequency, or duration without direction from your provider.
- Store and dispose of medication as directed on the label and in accordance with applicable law; do not use medication after its expiration or beyond-use date.
- Inspect each shipment on arrival and contact support@oriahwellness.com promptly if the medication appears damaged, tampered with, or incorrect.
Sharing, transferring, or reselling prescription medication is unlawful and dangerous and is a material violation of these Terms. Nothing in this Section creates any provider–patient or pharmacist–patient relationship with Oriah; those relationships exist solely between you and the independent licensed providers and pharmacies who furnish your care and medications. 8. Not for Emergencies; Medical Disclaimer
The Oriah technology platform, including its messaging tools and online intake, is designed to facilitate non-emergency, asynchronous telehealth and wellness care across our service lines—weight management (including physician-supervised GLP-1 protocols), longevity and peptide protocols, hormone therapy, and sexual health. It is not a substitute for emergency services and must never be used to seek emergency care. Examples of situations that require emergency care include, but are not limited to, chest pain or pressure, difficulty breathing, severe or sudden allergic reactions, suicidal or self-harming thoughts, signs of stroke, uncontrolled bleeding, loss of consciousness, severe abdominal pain, or any condition that could result in serious harm or death if not treated immediately.
If you are in the United States and are experiencing a behavioral health crisis, you may also call or text the 988 Suicide & Crisis Lifeline. In all other emergencies, call 911 or proceed to the nearest emergency department. Neither Oriah Wellness LLC ("Oriah") nor the independent, state-licensed healthcare providers and affiliated professional medical groups who deliver clinical care through the platform are able to address emergencies through the Services, and none of them will be liable for any delay in care that results from your use of the Services in an emergency. Oriah operates the technology platform and provides non-clinical, administrative support only; Oriah does not practice medicine and does not provide medical advice.
Educational Content Is Not Medical Advice
Information made available on oriahwellness.com and through the Services—including articles, blog posts, product descriptions, protocol overviews, frequently asked questions, marketing materials, and other general content relating to weight management, longevity and peptide protocols, hormone therapy, and sexual health—is provided for general informational and educational purposes only. Such content is not medical advice, is not tailored to you, does not establish a provider–patient relationship, and is not a substitute for the professional judgment of a licensed clinician who has reviewed your individual history, symptoms, and bloodwork.
You should never disregard, avoid, or delay obtaining medical advice from a qualified healthcare professional because of something you have read or viewed on the platform. Statements regarding any product or protocol are general in nature, have not been evaluated by Oriah as medical claims, and individual results vary. Only the independent, state-licensed healthcare providers who consult with you—not Oriah—diagnose conditions, prescribe medications, and make medical decisions, and only those decisions are tailored to your specific circumstances. Prescriptions, where issued, are filled by licensed U.S. pharmacies. Your clinical relationship and the scope of clinical care are governed by the separate Telehealth Informed Consent, and your information is handled as described in our Privacy Policy.
Service Availability and Response Times
The Services are not monitored on a continuous, around-the-clock basis, and providers, support staff, and pharmacies are not available 24 hours a day, 7 days a week. Messages you send through the platform—whether to a provider or to Oriah's non-clinical support team—are handled asynchronously and are generally reviewed and answered within one to two business days, and may take longer during weekends, holidays, periods of high volume, or as a result of factors outside our reasonable control. No response is guaranteed within any specific timeframe, and you should not assume that a message has been received or read until you receive a reply.
Because of these inherent limitations, the platform is not appropriate for time-sensitive or urgent clinical concerns. If your condition worsens, if you develop new or concerning symptoms, or if you need a faster response than asynchronous messaging can provide, contact your local healthcare provider, call 911, or seek in-person care. Non-clinical, administrative questions may be directed to support@oriahwellness.com, and legal notices may be sent to legal@oriahwellness.com or to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801. These channels are likewise not monitored for emergencies and are subject to the same response limitations described above.
9. No Insurance; Your Financial Responsibility
Oriah Wellness LLC ("Oriah," "we," "us," or "our") operates on a strictly cash-pay basis. By creating an account, requesting services, or purchasing any product or subscription through oriahwellness.com (collectively, the "Platform") — including our weight-management (GLP-1) protocols, longevity and peptide protocols, hormone and testosterone optimization, and sexual-health treatments — you acknowledge and agree that you alone are financially responsible for all amounts owed in connection with the services and products you obtain, and that the payment terms described in this Section apply to every transaction, including amounts billed on auto-renewing subscriptions.
Cash-Pay Only; No Insurance Accepted
Oriah does not accept, bill, or process any form of health insurance or third-party benefit coverage. We do not participate in, and will not submit claims to, any commercial or private health insurance plan, health maintenance organization (HMO), preferred provider organization (PPO), or any similar private benefit program. We likewise do not accept or bill any federal or state healthcare program, including but not limited to Medicare (Parts A, B, C, or D), Medicaid, TRICARE, CHAMPVA, the Veterans Health Administration, or any other government-funded or government-administered health benefit program.
All consultations, products, medications, and related services obtained through the Platform are purchased directly by you and paid for entirely out of pocket at the prices quoted to you at the time of purchase. Neither the independent, state-licensed healthcare providers and affiliated professional medical groups that deliver clinical services, nor the licensed U.S. pharmacies that dispense medications, will submit, or authorize the submission of, any claim for reimbursement to any insurer or government program on your behalf.
No Reimbursement; No Application Toward Deductibles or Out-of-Pocket Maximums
Because Oriah operates outside of all insurance and government healthcare programs, you understand and agree that amounts you pay through the Platform are not eligible for reimbursement by, and will not be recognized by, any insurer or program. In particular, and without limitation, you acknowledge that:
- You cannot submit, and we will not provide claim forms or coding to support, any insurance claim, superbill, or request for reimbursement to any commercial insurer, Medicare, Medicaid, or other third-party payer for any consultation, product, medication, or fee paid through the Platform.
- Amounts you pay will not count toward, and cannot be applied to, any insurance or plan deductible, copayment, coinsurance, or annual or lifetime out-of-pocket maximum.
- Amounts you pay will not count toward, and cannot be applied to, your Medicare Part D true out-of-pocket (TrOOP) costs, and will not advance you through any Medicare Part D coverage phase, including the deductible, initial coverage, or catastrophic coverage stages.
- We make no representation that any payment is, or will be treated as, a qualified or reimbursable expense under any flexible spending account (FSA), health savings account (HSA), or health reimbursement arrangement (HRA); you are solely responsible for determining eligibility with your plan administrator and for any tax or compliance consequences.
If you are enrolled in Medicare, Medicaid, or any other federal or state healthcare program, you understand that the services offered through the Platform are furnished to you as a private-pay individual, are not covered by your program, and that you are obtaining and paying for them outside of that program. You should not rely on, and Oriah does not provide, any coverage determination, prior authorization, or benefit verification of any kind.
Your Responsibility for All Fees
You are responsible for paying, in full and when due, all fees, charges, and applicable taxes associated with your use of the Platform. Depending on the services you select, these amounts may include, without limitation: membership, program, or platform fees payable to Oriah; consultation and clinical service fees charged by the independent, state-licensed healthcare providers and professional medical groups; medication and dispensing fees charged by the licensed U.S. pharmacies; shipping, handling, and laboratory or bloodwork fees; and recurring charges under any subscription you enroll in. Prices are subject to change, and the amount you owe for any given order or billing cycle is the price disclosed to you at the time of that purchase or renewal.
For your convenience, Oriah may collect and process certain fees on behalf of the independent providers, professional medical groups, and pharmacies as their authorized billing and administrative agent. Where Oriah collects such amounts, it does so in a non-clinical, administrative capacity only; the collection of a provider or pharmacy fee by Oriah does not create a provider–patient relationship with Oriah, does not mean Oriah is practicing medicine or providing medical advice, and does not alter your obligation to pay the full amount. Oriah does not practice medicine and does not provide medical advice; the provider–patient relationship remains solely with the applicable independent provider, as further described in your separate Telehealth Informed Consent.
You authorize Oriah and its payment processors to charge your designated payment method for all amounts you owe, including recurring subscription charges, and you represent that you are authorized to use the payment method you provide and agree to keep your payment information current and accurate. If a charge is declined, returned, or otherwise not honored, you remain responsible for the amount owed, and we may suspend or cancel your orders, subscriptions, or access to the Platform until payment is resolved. Except as expressly stated in these Terms or as required by applicable law, fees are non-refundable. Information about how your payment and related data are handled is described in our Privacy Policy.

10. Subscriptions, Auto-Renewal, and Billing
Many of the products and services made available through Oriah Wellness LLC ("Oriah," "we," "us," or "our") on oriahwellness.com are sold on an automatically renewing subscription basis (each, a "Subscription"). This includes, for example, weight-loss protocols (such as compounded semaglutide and compounded tirzepatide), longevity and peptide protocols (such as NAD+, sermorelin, ipamorelin, and BPC-157), hormone-optimization protocols (such as testosterone cypionate), and sexual-health treatments (such as sildenafil and tadalafil). Oriah operates the technology platform and provides non-clinical, administrative, and billing support; all consultations, prescriptions, and medical decisions are made by independent, state-licensed healthcare providers and affiliated professional medical groups, and any prescription medication is dispensed by licensed U.S. pharmacies. When you enroll in a Subscription, you agree to the recurring billing terms described in this Section and disclosed to you at checkout.
All Oriah services are cash-pay only. We do not accept commercial insurance or any federal or state healthcare program, including Medicare and Medicaid, and no portion of any charge is or will be submitted to such programs. Services are available only to U.S. residents who are at least 18 years of age.
How Auto-Renewal Works
When you sign up for a Subscription, the billing interval (for example, monthly, quarterly, or another recurring period) and the recurring price are disclosed to you on the checkout screen before you place your order. By completing your enrollment, you authorize Oriah and its payment processors to automatically charge your designated payment method the then-current Subscription price, plus any applicable taxes and shipping or handling fees, at the start of each billing cycle. Your Subscription will continue to renew automatically at the disclosed interval and price, without further action or notice to you, until you cancel in accordance with the "How to Cancel" subsection below.
Subscription charges are billed in advance of each billing cycle and correspond to the medication, treatment plan, and any related non-clinical support services associated with that cycle. The renewal price may differ from any introductory, promotional, or first-order pricing; the price that applies to each renewal is the recurring price disclosed at checkout or otherwise communicated to you, as it may be updated under the "Price Changes" subsection below.
Authorization to Store and Charge Your Payment Method
By providing a payment method in connection with a Subscription, you represent that you are authorized to use it, and you authorize Oriah and its third-party payment processors to store your payment information and to charge that payment method (and any updated, replacement, or successor payment method, including card information automatically updated by your card network or issuer) for all recurring Subscription charges, renewals, applicable taxes, shipping and handling, and any other amounts you incur, until your Subscription is cancelled or you remove the payment method and we accept the change. If a charge is declined or cannot be completed, we may retry the charge, suspend or cancel your Subscription, and pause associated services and shipments until payment is successfully processed.
You are responsible for keeping your billing and payment information accurate and current. You can update your payment method through your account on oriahwellness.com. Maintaining a valid payment method on file does not, by itself, change your renewal schedule; your Subscription continues to renew until cancelled regardless of whether your payment details change.
How to Cancel
You may cancel a Subscription at any time through your account settings on oriahwellness.com or by contacting our team at support@oriahwellness.com. To avoid being charged for the next billing cycle, you must cancel at least two (2) days before your next scheduled renewal date. Cancellations submitted on or after the renewal date, or fewer than two (2) days before it, will take effect at the end of the then-current billing cycle, and you will remain responsible for the charge already initiated for that cycle.
- Cancellation stops future renewals; it does not, by itself, entitle you to a refund of amounts already charged for the current or prior billing cycles, except as required by applicable law or as expressly provided in our refund or returns terms.
- Because the medications offered through the platform are prescription products dispensed by licensed U.S. pharmacies, shipments that have already been processed, filled, or shipped generally cannot be cancelled, returned, or refunded for safety and regulatory reasons.
- Cancelling a Subscription does not terminate the separate provider-patient relationship you may have with an independent, state-licensed provider, and it is not a substitute for any clinical decision to start, change, or stop treatment, which should be discussed with your provider. Oriah does not practice medicine and does not make any such clinical decisions.
Price Changes
We may change Subscription prices, fees, and the products or services included in a Subscription from time to time. If we increase the recurring price of your Subscription, we will provide notice in advance of the change taking effect, as required by applicable law, using the email address or other contact information associated with your account. Any price change will apply to billing cycles that begin after the effective date of the change. If you do not agree to a price change, your sole remedy is to cancel your Subscription before the change takes effect, in accordance with the "How to Cancel" subsection above; your continued use of the Subscription after the effective date constitutes your acceptance of the new price.
Free Trials and Promotional Offers
If your Subscription begins with a free trial, discounted introductory period, or other promotional offer, the recurring full price will automatically apply, and your payment method will automatically be charged, at the end of the promotional period unless you cancel before it ends in accordance with the "How to Cancel" subsection above. The specific terms, duration, and conversion price of any such offer will be disclosed at the time you enroll, and those terms are incorporated into these Terms by reference. Promotional offers may be limited to new customers, may not be combined with other offers, and may be modified or withdrawn at any time.
Billing Authorization, Taxes, and Records
All charges are stated and processed in U.S. dollars and are exclusive of applicable taxes, which will be added where required. You authorize us to charge all applicable taxes to your payment method together with the Subscription charges. We may send you electronic receipts, renewal reminders, and billing-related communications at the email address or mobile number associated with your account; these communications are part of the service relationship and are not promotional. For more information about how we handle your information, please review our Privacy Policy.
If you believe you have been charged in error, contact us promptly at support@oriahwellness.com, or send written notice to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801, so that we can review and address the issue. These billing terms are governed by the laws of the State of Delaware and are subject to the remainder of these Terms & Conditions, including the dispute-resolution and binding arbitration provisions. This Section is effective as of June 24, 2026.
11. Cancellation and Refunds
This section explains how to cancel your Subscription or other recurring Services and describes Oriah's policies regarding refunds. It supplements, and should be read together with, the auto-renewal, billing, and subscription terms described elsewhere in these Terms & Conditions. Because the Services involve personalized, physician-supervised health products and treatments that are prescribed by independent, state-licensed healthcare providers and dispensed by licensed U.S. pharmacies on a cash-pay basis, certain limitations on cancellation and refunds apply, and you should review this section carefully before placing an order or enrolling in any recurring plan. Oriah operates the technology platform and provides non-clinical, administrative support only; Oriah does not practice medicine, and all clinical decisions are made by the independent providers responsible for your care.
How to Cancel
You may cancel an auto-renewing Subscription or other recurring Service at any time using either of the following methods:
- Through your account portal. Log in to your account at oriahwellness.com and follow the cancellation steps in your account or subscription-management settings.
- By contacting Support. Email our support team at support@oriahwellness.com and request cancellation. So that we can locate and verify your account, please include the email address and name associated with your account.
We may take reasonable steps to confirm your identity before processing a cancellation request. A cancellation is not effective until it has been completed through your account portal or confirmed by our Support team. We recommend that you retain a copy of any cancellation confirmation for your records.
Cancellation Deadline to Avoid the Next Charge
Your renewal or processing date is the date on which we initiate the charge and begin preparing and fulfilling your next order, which may occur before your next shipment ships. You can view your upcoming renewal or processing date in your account portal. Because orders for personalized health products may enter clinical review by an independent provider, pharmacy processing, and fulfillment shortly after a charge is initiated, cancellations submitted inside the 48-hour window cannot stop a charge or order that is already in progress.
Access After Cancellation
When you cancel, you will not be enrolled in or charged for any future billing cycle that has not yet entered processing. Cancellation does not retroactively cancel a cycle for which you have already been charged. You will continue to have access to the Services, and to any product or treatment associated with the cycle you have already paid for, through the end of that paid period. Cancelling a Subscription does not, by itself, close your account or terminate your relationship with the independent, state-licensed healthcare providers or affiliated professional medical group responsible for your care. If you wish to discontinue treatment, you should also consult with your provider, as stopping certain protocols may have clinical implications that only your provider can address.
Refund Policy
Compounded and prescription medications cannot be returned, reused, or resold once they have been dispensed or shipped, including for reasons of safety, sanitation, and applicable law. For this reason, we are generally unable to offer refunds for such products after a charge has been processed, regardless of whether the product has been opened or used. This includes medications associated with our weight-management, longevity, hormone-therapy, and sexual-health offerings.
Refunds Where You Are Ineligible or Your Request Is Declined
If, after you are charged, an independent healthcare provider determines that you are not clinically eligible for the requested treatment, or your order or request is otherwise declined or cannot be fulfilled before the product is prescribed, compounded, dispensed, or shipped, you will receive a refund of the amount charged for that order, less any non-refundable consultation or evaluation fee that may apply and that is disclosed to you at the time of purchase. A clinical determination that a particular treatment is not appropriate for you is a medical decision made solely by the independent provider and is not made by Oriah.
How Refunds Are Issued
When a refund is due, it will be issued to the original payment method used for the purchase. Refunds may take several business days to process and appear on your statement, depending on your bank or card issuer. If you believe you are entitled to a refund or have a question about a charge, please contact us at support@oriahwellness.com before disputing the charge with your bank or card issuer, and we will work with you to resolve the matter.
Your Statutory Rights and Governing Law
Nothing in this section limits any non-waivable rights you may have under applicable law, including any state auto-renewal, automatic-renewal, or consumer-protection statutes. Where applicable law requires a refund or cancellation right that differs from the policies above, we will honor that law. This section is governed by the laws of the State of Delaware, consistent with the governing-law and dispute-resolution provisions of these Terms & Conditions. The clinical relationship between you and the independent providers is further described in the Telehealth Informed Consent, and our handling of your personal information in connection with cancellations and refunds is described in our Privacy Policy. 12. Payments, Pricing, and Authorization
By placing an order, enrolling in a program, or activating a subscription through oriahwellness.com, you agree to pay all fees, charges, and applicable taxes for the products and services you select, in the amounts and at the times presented to you during checkout and in your account. The prices, fees, and billing terms displayed at the point of purchase (including any one-time charges, recurring subscription charges, consultation or membership fees, shipping costs, and surcharges) form part of these Terms and are incorporated by reference. Oriah Wellness LLC ("Oriah") operates the technology platform and provides non-clinical, administrative support; it does not practice medicine or provide medical advice. The fees you pay may include both platform and administrative amounts charged by Oriah and clinical, pharmacy, or product amounts that Oriah collects on behalf of the independent, state-licensed providers, affiliated professional medical groups, and licensed U.S. pharmacies who furnish your consultations, prescriptions, and medications. All services are cash-pay only. Oriah does not accept commercial insurance or any federal or state healthcare program, including Medicare and Medicaid, and no fee paid to or through Oriah is eligible for insurance reimbursement or third-party payer submission by Oriah. Charges for the services described in these Terms may relate to any of Oriah's offerings, including physician-supervised weight-loss protocols, longevity and peptide protocols, hormone therapy, and sexual-health treatments.
Pricing and Price Changes
We may establish, modify, or discontinue prices, fees, plans, promotions, discounts, and product offerings at any time in our sole discretion. Pricing displayed on the website is subject to change, and the price applicable to a given order is the price in effect at the time that order is placed and accepted. Price changes do not apply retroactively to charges that have already been processed. For products and services billed on a recurring or subscription basis, any change to your recurring price will apply prospectively to future billing cycles, and we will provide notice of a price change before it takes effect as required by applicable law, together with information on how to cancel if you do not wish to continue at the new price. If you do not cancel before the change becomes effective, your continued enrollment and the next charge to your Payment Method will constitute acceptance of the revised price. We are not obligated to honor pricing that results from typographical, technical, or pricing errors, and we reserve the right to cancel or correct any order affected by such an error, even after the order is confirmed.
Authorization to Charge Your Payment Method
You must provide a current, valid, and accepted method of payment, which may include a credit card, debit card, or other payment instrument we make available (your "Payment Method"). Payments are processed through one or more third-party payment processors, and your use of those services may be subject to the processor's own terms and privacy practices. By providing a Payment Method and completing a purchase, you authorize Oriah and its payment processor to store your payment credentials and to charge your Payment Method for all amounts due, including:
- one-time charges for products, consultations, lab work, shipping, taxes, and other services you select at checkout;
- all recurring charges associated with any subscription, membership, or auto-renewing program you enroll in, at the then-current price and billing frequency, until you cancel in accordance with these Terms;
- any outstanding balances, re-billing attempts on a previously declined charge, and applicable taxes, surcharges, or fees; and
- any other amounts you authorize, such as changes to your treatment plan, dosage, or product that are made by your independent provider and that affect the price of your order.
This authorization remains in effect for as long as you maintain an active order, account, or subscription with us and until you cancel the applicable subscription or all amounts owed have been paid in full. Where your subscription auto-renews, the recurring billing terms, renewal interval, and cancellation requirements are described in the Subscriptions and Automatic Renewal section of these Terms, which you should read together with this section.
Taxes
You are responsible for all sales, use, excise, and other taxes, duties, and governmental assessments associated with your purchases, except for taxes based on Oriah's net income. Where required, applicable taxes are calculated based on the information you provide (including your billing and shipping address) and are added to the amount charged to your Payment Method. If the applicable tax rate or your tax status changes, the tax amount applied to your future charges may change accordingly without separate notice.
Failed, Declined, or Disputed Payments
You are responsible for keeping your Payment Method, billing information, and account details accurate and up to date. If a charge is declined, returned, reversed, or otherwise not successfully processed, we and our payment processor may retry the charge, and we may, in our discretion, suspend, pause, downgrade, or cancel your order, subscription, access to the platform, or fulfillment of products and services until payment is received and all outstanding amounts are resolved. Suspension or cancellation for non-payment does not relieve you of your obligation to pay amounts already due, and it does not by itself terminate any relationship you have with your independent provider. To the extent permitted by applicable law, we may charge interest or fees on past-due balances, recover reasonable costs of collection, and decline to provide further products or services to accounts with an unpaid balance. If you believe a charge is incorrect, you should contact us at support@oriahwellness.com before initiating a chargeback so that we can attempt to resolve the matter; for legal notices, contact us at legal@oriahwellness.com or Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801.
Your Payment Representations
By submitting a Payment Method, you represent and warrant that you are at least eighteen (18) years of age, are a resident of the United States, and are the authorized holder of, or are otherwise legally authorized to use, the Payment Method you provide, and that the billing information you supply is true, accurate, and complete. You agree to promptly update your account if your Payment Method expires, is replaced, or otherwise changes. Your use of our services is also subject to our Privacy Policy, which describes how we and our payment processor handle the information associated with your transactions. These payment terms are governed by the laws of the State of Delaware, consistent with the governing-law provisions of these Terms, and are effective as of June 24, 2026.
13. Communications by Text Message and Email
By creating an account, providing your mobile telephone number, completing an intake or checkout form, or otherwise opting in, you agree to receive communications from Oriah, from the independent, state-licensed healthcare providers and affiliated professional medical groups who care for you, and from the licensed U.S. pharmacies that dispense your medications, by text message (SMS/MMS), email, automated or prerecorded voice or phone call, and other electronic means at the contact information you provide. These communications are part of how we operate the technology platform and provide non-clinical, administrative support for your use of the Services, and your continued use of the Services constitutes your acceptance of this Section. Oriah does not practice medicine; any clinical communications you receive are sent by or on behalf of your independent providers and pharmacies.
You represent that you are at least 18 years of age and a U.S. resident, that the mobile number you provide is your own, and that you are authorized to receive messages at that number. Your consent here is in addition to, and does not replace, the consents described in our separate Telehealth Informed Consent, which governs your clinical relationship with your independent providers.
Transactional and Service Communications
We send transactional and service-related messages in connection with your account and the Services. These may include, without limitation, identity and account verification, one-time passcodes, order and shipping confirmations, appointment and consultation reminders, requests for information needed by your provider or pharmacy, refill and renewal notices, billing and payment confirmations, auto-renewal and subscription reminders, customer-support replies, and other administrative or operational notices. Because these messages are necessary to provide the Services you have requested, they are not promotional, and you may continue to receive them while your account is active even if you opt out of marketing messages as described below.
Promotional and Marketing Communications
If you separately elect to receive them, we may also send promotional or marketing messages about products, Services, offers, surveys, and related content, including communications relating to our weight loss, longevity and anti-aging, hormone therapy, and sexual health offerings. Your consent to receive marketing text messages is not a condition of purchasing any product or Service. You may decline marketing communications and still purchase and use the Services. You can opt out of marketing emails at any time by using the unsubscribe link in any such email or by emailing support@oriahwellness.com.
How to Opt Out or Get Help
- STOP. Reply STOP to any text message to unsubscribe from that messaging program. After you reply STOP, we may send a single confirmation message acknowledging your opt-out, and you will stop receiving messages from that program. You may also need to opt out separately from other programs to which you have subscribed.
- HELP. Reply HELP to any text message for assistance, or contact us at support@oriahwellness.com or Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801.
- Re-subscribe. If you opt out of texts, you may resume them at any time by opting in again. Note that opting out of marketing texts does not stop transactional or service messages that are necessary to provide the Services.
Message Frequency, Rates, and Carrier Limitations
Message frequency varies based on your account activity and the programs to which you subscribe. Message and data rates may apply to each message sent or received, in accordance with the plan you have with your wireless carrier; you are solely responsible for those charges. You represent that the mobile number you provide is your own and that you are authorized to receive messages at that number, and you agree to notify us promptly if your number changes, is deactivated, or is reassigned to another person. Wireless carriers are not liable for delayed, misdirected, or undelivered messages. We do not guarantee that any message will be delivered, and delivery is subject to effective transmission by your carrier and other factors outside our control. Supported carriers may change at any time, and we are not responsible for messaging programs of carriers we do not support.
Security of Text Messages and Email
Privacy of Your Mobile Information
We do not share your mobile opt-in or consent information, or the text-messaging originator opt-in data, with any third parties for their own marketing or promotional purposes. We may share your information with service providers that help us operate our messaging programs (for example, messaging platforms and carriers) solely to deliver the messages you have requested, and with your independent providers and pharmacies as needed to provide the Services. All handling of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. Consent to Electronic Communications
By creating an account, completing an intake or medical history form, placing an order, enrolling in a subscription, or otherwise using the services offered through oriahwellness.com (the "Services"), you consent to receive Communications and to transact electronically with Oriah Wellness LLC ("Oriah," "we," "us," or "our") and with the independent, state-licensed healthcare providers, affiliated professional medical groups, licensed pharmacies, and service partners with whom you interact through the platform. This consent applies to all agreements, notices, disclosures, statements, records, authorizations, consents, and other communications that we or they provide to you, or that you submit to us, in connection with your account, your transactions, and the Services (collectively, "Communications").
Your consent is given under the federal Electronic Signatures in Global and National Commerce Act (the "E-SIGN Act") and applicable state law. You agree that any Communication delivered to you electronically satisfies any legal requirement that the Communication be provided to you in writing, and that your electronic acceptance, click-through assent, electronic submission of intake information, or continued use of the Services constitutes your legally binding electronic signature.
How We Deliver Communications
We may provide Communications to you by one or more of the following methods: (a) by email to the address associated with your account; (b) by posting the Communication on oriahwellness.com or within any Oriah mobile application; (c) by making the Communication accessible through your account dashboard or secure message center; (d) by text message to a mobile number you have provided, where you have separately consented to text messaging; or (e) by any other electronic means we reasonably select. Communications posted to the website or app, or sent to your email address, are deemed received by you when sent or posted, whether or not you have actually accessed or read them.
The categories of Communications covered by your consent include, without limitation: these Terms & Conditions and any amendments; the separate Telehealth Informed Consent and other clinical disclosures, consents, and authorizations; the Privacy Policy and other privacy notices; intake confirmations and provider messages routed through the platform; order confirmations, receipts, shipping and refill notices, and subscription, auto-renewal, and renewal-reminder disclosures; account, billing, payment, and security notices; and customer-service and legal notices.
Communications relating to your clinical care, evaluation, diagnosis, prescriptions, and treatment are provided by the independent, state-licensed healthcare providers, affiliated professional medical groups, and licensed pharmacies responsible for your care, not by Oriah. Oriah operates the technology platform and provides non-clinical, administrative support; Oriah does not practice medicine, does not provide medical advice, and is not a party to the provider-patient relationship, which is solely between you and your providers.
Hardware and Software Requirements
To access, view, and retain Communications electronically, you will need: a device with internet access; a current version of a standard web browser that supports current security protocols; a valid, active email account capable of receiving email; software capable of viewing and saving PDF files; and sufficient storage space or a printer to save or print copies of Communications for your records. By consenting, you confirm that you have access to the hardware and software described above and the ability to receive, open, and retain electronic Communications.
Keeping Your Contact Information Current
You are responsible for providing and maintaining a true, accurate, current, and complete email address and other contact information, and for keeping that information up to date through your account settings or by contacting us at support@oriahwellness.com. You agree to promptly notify us of any change to your email address or mobile number. We are not responsible for any Communication that is not delivered, or that is delayed or misdirected, because your contact information is inaccurate or out of date, or because your email provider, spam filter, carrier, or device prevents delivery.
Requesting Paper Copies
You may request a paper copy of any Communication we have provided to you electronically by writing to us at legal@oriahwellness.com or Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801. We may charge a reasonable fee for paper copies to the extent permitted by law. Requesting a paper copy of a particular Communication does not, by itself, withdraw your consent to receive Communications electronically.
Withdrawing Your Consent
You have the right to withdraw your consent to receive Communications electronically at any time by contacting us at legal@oriahwellness.com and identifying the account for which consent is being withdrawn. Any withdrawal of consent will be effective only after we have had a reasonable period of time to process your request and will not affect the legal validity or enforceability of Communications provided to you before the withdrawal takes effect.
SMS and Text Message Communications
Where you have provided a mobile number and agreed to receive text messages, you consent to receive transactional and, where you have separately authorized them, marketing text messages from or on behalf of Oriah and your independent healthcare providers, including messages sent using an automatic telephone dialing system. Message frequency varies, and message and data rates may apply. You may opt out of text messages at any time by replying STOP to any message, and you may reply HELP for assistance. You acknowledge that text and email Communications are generally not encrypted and may be transmitted over networks that are not secure, which carries a risk that their contents could be intercepted or read by a third party. Opting out of text messages does not withdraw your consent to receive other electronic Communications, such as email and in-app notices, and may limit your ability to receive certain refill, renewal, or account alerts.
This consent to electronic Communications is effective as of June 24, 2026 and remains in effect for as long as you use the Services or maintain an account with us, unless and until withdrawn as described above. It is governed by the laws of the State of Delaware, consistent with the governing-law provisions of these Terms.
15. Privacy
Your privacy matters to us. Our collection, use, disclosure, retention, and protection of information about you in connection with the Oriah website at oriahwellness.com, our mobile and web applications, and the related services (collectively, the Services) are governed by our Privacy Policy, which is hereby incorporated into these Terms & Conditions by reference and forms a part of these Terms. By accessing or using the Services, you acknowledge that you have read and understood the Privacy Policy, and you consent to the practices it describes. To the extent there is a direct conflict between these Terms and the Privacy Policy with respect to the handling of your information, the Privacy Policy controls as to that subject matter.
The Privacy Policy explains, among other things, the categories of information we collect (including information you provide directly, information collected automatically through cookies and similar technologies, and information we receive from third parties), how and why we use that information, the circumstances under which we may share it, your privacy choices and rights, and how you may exercise them. We encourage you to review the Privacy Policy carefully so that you understand how your information is collected and used in connection with the Services.
Clinical Information and HIPAA
Oriah operates the technology platform and provides non-clinical, administrative support; we do not practice medicine and do not provide medical advice. All consultations, diagnoses, prescriptions, and medical decisions — including those relating to weight-management (such as compounded semaglutide or tirzepatide), longevity and peptide protocols, hormone and testosterone optimization, and sexual-health treatments — are made by independent, state-licensed healthcare providers and affiliated professional medical groups, and medications are dispensed by licensed U.S. pharmacies. The clinical information that these independent providers, professional medical groups, and pharmacies create, receive, maintain, or transmit about you in the course of providing care to you — including your protected health information (PHI) — is governed by their own Notice of Privacy Practices under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (HIPAA), and not solely by our Privacy Policy. Those providers and pharmacies are the covered entities responsible for your PHI in connection with your treatment, and Oriah may handle certain of that information as their business associate. You should review each applicable provider's, medical group's, or pharmacy's Notice of Privacy Practices to understand how your PHI is used and disclosed and to learn about your rights with respect to that information.
The provider–patient relationship, and the privacy protections that attach to it, exist with the independent licensed providers, not with Oriah. The clinical relationship and your authorizations relating to the use and disclosure of your health information for treatment are further described in our separate Telehealth Informed Consent, which you should also review.
Some information you provide in connection with the Services — for example, certain account, billing, and general support data — may not constitute PHI under HIPAA and is instead handled in accordance with our Privacy Policy. Because the Services are cash-pay only and Oriah does not bill commercial insurance or any federal or state healthcare program, we do not collect or process insurance eligibility or claims information for these Services.

16. Intellectual Property; Ownership and License to You
The Services — including the oriahwellness.com website, our mobile and web applications, the underlying technology platform, software, source and object code, application programming interfaces, databases, user interfaces, designs, layouts, graphics, photographs, illustrations, videos, audio, text, articles, educational and wellness materials, intake questionnaires, and treatment-program descriptions, and all other content and materials we make available (collectively, the Oriah Materials) — are owned by Oriah Wellness LLC (Oriah) or our licensors and are protected by United States and international copyright, trademark, trade-dress, patent, trade-secret, and other intellectual-property and proprietary-rights laws. As between you and Oriah, Oriah and its licensors retain all right, title, and interest in and to the Oriah Materials. Oriah operates the technology platform and provides non-clinical, administrative support only; it does not practice medicine or provide medical advice.
The Oriah Materials do not include the prescriptions, clinical notes, diagnoses, treatment plans, or other medical content generated by the independent, state-licensed healthcare providers and affiliated professional medical groups who deliver clinical care, or content owned by the licensed U.S. pharmacies that dispense medications. Your provider–patient relationship is with those independent providers, not Oriah. Those parties retain rights in their own materials, and your rights with respect to that clinical content are governed by the Telehealth Informed Consent and our Privacy Policy.
Trademarks and Brand
Oriah, Oriah Wellness, oriahwellness.com, the Oriah logo, and all related names, logos, product and service names, designs, taglines, and slogans are trademarks, service marks, or trade dress of Oriah Wellness LLC or its affiliates (the Oriah Marks). You may not use the Oriah Marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on or through the Services — including those of independent providers, professional medical groups, pharmacies, and other third parties — are the trademarks of their respective owners, and their appearance on the Services does not imply any affiliation with, sponsorship by, or endorsement of Oriah.
Limited License to You
Subject to your continued compliance with these Terms, Oriah grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to view, download, and print the Oriah Materials solely for your own personal, non-commercial use in connection with receiving and managing the wellness and telehealth services offered to you as a U.S. resident age 18 or older. This license does not grant you any ownership interest in the Oriah Materials, and it terminates automatically if you breach these Terms or if your access to the Services is suspended or terminated.
Except as expressly permitted by this license or by applicable law, you may not, and you may not permit any third party to:
- copy, reproduce, republish, distribute, publicly display or perform, frame, mirror, post, transmit, sell, license, rent, lease, or otherwise commercially exploit any portion of the Oriah Materials;
- modify, translate, adapt, or create derivative works based on the Oriah Materials or the Services;
- reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, structure, or underlying ideas of any software or technology comprising the Services, except to the limited extent this restriction is prohibited by applicable law;
- remove, obscure, or alter any copyright, trademark, or other proprietary-rights notice contained in or accompanying the Oriah Materials;
- use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, or copy the Services or Oriah Materials, or otherwise collect or harvest data from the Services without our prior written consent; or
- use the Oriah Materials or Services to build, train, or improve any competing product, service, dataset, or machine-learning or artificial-intelligence model.
Your Content and License to Oriah
In the course of using the Services, you may submit or upload information and materials — such as intake-questionnaire responses, photographs, body-measurement or weight data, messages, reviews, and other content (collectively, User Content). As between you and Oriah, you retain ownership of your User Content. You grant Oriah a worldwide, royalty-free, sublicensable license to host, store, reproduce, format, route, and transmit your User Content as necessary to operate and provide the Services, including to make it available to the independent providers, professional medical groups, and licensed pharmacies who deliver your care and to fulfill our non-clinical, administrative functions. Our handling of any User Content that constitutes protected health information or other personal data is governed by the Telehealth Informed Consent and the Privacy Policy. You represent that you have all rights necessary to submit your User Content and that it does not infringe or violate the rights of any third party.
Feedback
If you choose to send us comments, suggestions, ideas, or other feedback about the Services (Feedback), you grant Oriah a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit the Feedback for any purpose, without any obligation, attribution, or compensation to you. Feedback is provided voluntarily and will be treated as non-confidential and non-proprietary.
Copyright Complaints (DMCA)
Oriah respects the intellectual-property rights of others and expects users of the Services to do the same. If you believe that material accessible on or through the Services infringes your copyright, you may submit a written notice to our designated agent under the Digital Millennium Copyright Act. Your notice must include: (a) a physical or electronic signature of the copyright owner or a person authorized to act on its behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it; (d) your contact information, including address, telephone number, and email; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf. We may, in appropriate circumstances and in our discretion, disable or terminate the accounts of users who are repeat infringers. Reservation of Rights
All rights not expressly granted to you in these Terms are reserved by Oriah and its licensors. No license or right is granted to you by implication, estoppel, or otherwise, except as expressly set forth in this Section. Any unauthorized use of the Oriah Materials or the Oriah Marks terminates the license granted above and may violate applicable intellectual-property laws. 17. User Content
The Services may allow you to submit, post, upload, transmit, or otherwise make available text, photographs, images, messages, product reviews, ratings, testimonials, comments, and other materials (collectively, User Content). You are solely responsible for all User Content you provide and for the consequences of submitting it, including its accuracy, legality, and reliability. By making any User Content available through or in connection with the Services, you affirm that you own it or otherwise have all rights, licenses, consents, and permissions necessary to submit it and to grant the license described below.
Protected health information is treated differently. Information you exchange with the independent, state-licensed healthcare providers and affiliated professional medical groups for the purpose of consultation, diagnosis, treatment, or care — including your clinical intake responses, medical and health history, bloodwork and lab results, and provider messaging (collectively, your Health Information) — is not treated as User Content under this Section. Oriah operates the technology platform and provides non-clinical, administrative support; it does not practice medicine or provide medical advice, and your provider–patient relationship is with the independent providers, not with Oriah. Your Health Information is governed by our Privacy Policy, our Telehealth Informed Consent, and applicable law, including HIPAA where it applies. Nothing in this Section grants Oriah any license to use your Health Information beyond what those documents and applicable law permit.
License You Grant to Oriah
Except for your Health Information as described above, you grant Oriah Wellness LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to host, store, use, reproduce, modify, adapt, create derivative works from, publish, publicly perform, publicly display, distribute, and otherwise exploit your User Content, in whole or in part, in any media or formats now known or later developed. We may use this license to operate, provide, maintain, analyze, secure, and improve the Services and our products; to develop new features and offerings; and, where you have submitted content such as reviews or testimonials, to publish, promote, and market the Services and our weight loss, longevity, hormone therapy, and sexual health offerings. This license continues even if you stop using the Services, and survives termination of these Terms to the extent reasonably necessary for the purposes described here.
Your Representations and Warranties
With respect to each item of User Content you submit, you represent and warrant that:
- you own or otherwise control all rights to the User Content and have the authority to grant the license set forth above;
- the User Content is accurate and not misleading, and submitting it does not violate these Terms, applicable law, or any third party's rights, including intellectual-property, privacy, publicity, or contractual rights;
- the User Content does not contain any other person's protected health information or personal information that you are not authorized to disclose; and
- the User Content is not unlawful, defamatory, obscene, harassing, threatening, infringing, fraudulent, or otherwise objectionable, and does not contain viruses, malware, or other harmful code.
Removal and No Obligation to Monitor
We have no obligation to monitor, screen, edit, or store User Content, but we reserve the right to do so. We may, in our sole discretion and without notice or liability to you, refuse to accept, remove, edit, disable access to, or delete any User Content at any time and for any reason, including User Content we believe violates these Terms or our policies, or that we determine is otherwise objectionable. We are not responsible for backing up or retaining any User Content, and you are solely responsible for maintaining your own copies.
Public Forums and Third-Party Content
If the Services include any public or community-facing area in which User Content may be displayed to others — such as published reviews, ratings, testimonials, or comment areas — you understand that any User Content you submit there may be read, collected, copied, or used by others, and you submit it at your own risk. User Content does not reflect the views of Oriah and is not endorsed, verified, or adopted by us. Oriah is not responsible or liable for any User Content posted by you or by any third party, including for the accuracy, legality, or appropriateness of such content, and we expressly disclaim any liability arising from your or any third party's User Content or from your reliance on it. Health-related statements appearing in User Content — including descriptions of experiences with GLP-1, peptide, hormone therapy, or sexual health protocols — are personal opinions, are not medical advice, reflect individual experiences that may not be typical, and should not be relied upon in place of consultation with an independent, state-licensed healthcare provider.
Testimonials and Reviews
Where you submit a review, rating, or testimonial about the Services or about a weight loss, longevity, hormone therapy, or sexual health protocol, you agree that we may display it together with your first name, last initial, and general location, and that we may edit it for length or clarity without altering its substance. Any results, outcomes, or experiences you describe are your own and are not a promise or guarantee of any particular result, which depends on individual factors, bloodwork, and the clinical judgment of your independent provider.
Feedback
If you send us suggestions, ideas, enhancement requests, or other feedback about the Services (Feedback), you agree that we may use it without restriction or compensation to you, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Services and our products in any manner we choose. Feedback is considered non-confidential and non-proprietary.

18. Acceptable Use and Restrictions
Your access to and use of the oriahwellness.com website, mobile experiences, and related technology platform (collectively, the Platform) is conditioned on your continued compliance with this Section and the rest of these Terms & Conditions. The Platform is operated by Oriah Wellness LLC (Oriah, we, us, or our), which provides the technology platform and non-clinical, administrative support, and which connects you with independent, state-licensed healthcare providers and affiliated professional medical groups. Oriah does not practice medicine and does not provide medical advice; all consultations, evaluations, diagnoses, prescriptions, and clinical decisions are made by those independent providers, and any prescribed medications are dispensed by licensed U.S. pharmacies. You agree to use the Platform only for its intended, lawful purposes and only in a manner consistent with these Terms, our Privacy Policy, and the Telehealth Informed Consent that governs your relationship with those independent providers.
Prohibited Conduct
When accessing or using the Platform, you agree that you will not, and will not attempt to, permit, encourage, or assist any third party to:
- Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose, or in violation of any applicable federal, state, or local law, rule, or regulation, including laws governing telehealth, controlled substances, compounded or prescription medications, consumer protection, auto-renewing subscriptions, and the privacy of health information;
- Impersonate or misrepresent your identity, age, residency, or affiliation with any person or entity, including creating or accessing an account on behalf of someone else without authorization, or falsely stating that you are a U.S. resident aged 18 or older when you are not;
- Provide false, inaccurate, incomplete, or misleading health information, medical history, symptoms, current medications, or identifying details to Oriah, to the independent providers, or to any dispensing pharmacy, including in any intake form, questionnaire, bloodwork or lab submission, or consultation, including in connection with weight-management, longevity, hormone-therapy, or sexual-health protocols;
- Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of any part of the Platform, except to the limited extent such restriction is expressly prohibited by applicable law;
- Use any robot, spider, scraper, crawler, data-mining tool, or other automated means or interface not provided by us to access the Platform, extract or harvest data, or monitor or copy any portion of the Platform or its content;
- Introduce, upload, or transmit any virus, worm, trojan horse, malware, ransomware, time bomb, or other malicious or harmful code, or take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
- Exploit, resell, sublicense, rent, lease, lend, or otherwise commercialize the Platform or any of its content, features, or functionality, or use the Platform for the benefit of any third party, in each case without our prior written authorization;
- Interfere with, disrupt, degrade, or circumvent the security, integrity, or proper functioning of the Platform or any associated networks, servers, or systems, or interfere with any other user's access to or enjoyment of the Platform;
- Harass, abuse, threaten, defame, defraud, stalk, or otherwise mistreat the independent providers, pharmacy personnel, Oriah staff, contractors, or any other users, or send any communication that is obscene, harmful, or otherwise objectionable;
- Infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other proprietary rights of Oriah or any third party, including by copying, reproducing, distributing, or creating derivative works from our trademarks, logos, content, or software without authorization;
- Circumvent, disable, or otherwise interfere with any access controls, authentication, rate limits, geofencing, age-gating, or other security- or use-related features of the Platform, or access any portion of the Platform that you are not authorized to access;
- Access or use the Platform on any device that has been jailbroken, rooted, modified, or otherwise tampered with in a manner that compromises its security or our ability to protect the confidentiality of information;
- Resell, transfer, distribute, share, divert, stockpile, or otherwise provide to any other person any medication, prescription, or product obtained through the Platform, all of which are intended solely for your personal use as directed by your independent prescribing provider;
- Use the Platform to seek or obtain insurance reimbursement or government healthcare-program payment, or to circumvent the cash-pay or eligibility conditions described below.
Cash-Pay and Eligibility Conditions
Services offered through the Platform are cash-pay only and are available only to U.S. residents aged 18 or older. Oriah does not accept commercial insurance or any federal or state healthcare program, including Medicare or Medicaid. You agree not to seek reimbursement from, or submit any claim relating to the Platform to, any insurer or government healthcare program, and not to use the Platform if you are excluded, ineligible, or otherwise prohibited from doing so under applicable law. Many products are offered on auto-renewing subscriptions, and your continued use of the Platform must remain consistent with the subscription, billing, and cancellation terms set out elsewhere in these Terms & Conditions.
Enforcement and Reservation of Rights
We reserve the right, but assume no obligation, to monitor, investigate, and take appropriate action regarding any actual or suspected violation of this Section. Such action may include, without limitation, removing content, suspending or terminating your account or access to the Platform, declining to process or fulfill orders, cancelling any auto-renewing subscription, notifying the independent providers or dispensing pharmacy, cooperating with law enforcement, and pursuing any other legal or equitable remedies available to us, all without prior notice and without liability to you. Your obligations under this Section are in addition to, and do not limit, any other restrictions set out in these Terms & Conditions or in the Privacy Policy. The rights and remedies described in this Section are cumulative and are governed by the laws of the State of Delaware. This Section is effective as of June 24, 2026.
19. Third-Party Links, Products, and Services
The Services depend on, integrate with, and may link to products, content, websites, applications, and services operated by independent third parties (collectively, Third-Party Services). These third parties are essential to how Oriah delivers its technology platform and arranges for the fulfillment of your orders, but they are separate businesses that Oriah does not own or control. Examples of Third-Party Services include, without limitation:
- The independent, state-licensed healthcare providers and affiliated professional medical groups who conduct consultations, evaluate your information and bloodwork, make diagnoses, and issue prescriptions across our weight-loss, longevity, hormone-therapy, and sexual-health offerings, and with whom your provider–patient relationship exists (and whose services are governed by your separate Telehealth Informed Consent);
- The licensed U.S. pharmacies that compound, dispense, and ship medications, including compounded semaglutide, compounded tirzepatide, peptide protocols, testosterone, and ED medications;
- Clinical and diagnostic laboratories that collect, process, and report bloodwork and other test results used to personalize your care;
- Payment processors and financial-services providers that handle cash-pay billing, card processing, and auto-renewing subscription charges;
- Shipping carriers and logistics providers that deliver your orders;
- Analytics, hosting, communications, and other technology vendors that help us operate, secure, and improve the Services; and
- Other websites, content, or resources that we may reference or link to for your convenience.
Any links, references, or integrations to Third-Party Services are provided solely for your convenience and do not constitute an endorsement, sponsorship, recommendation, certification, or guarantee by Oriah of those third parties or their content, products, practices, or services. The inclusion of a link or integration does not imply that Oriah is affiliated with, or has any responsibility for, the linked or integrated third party.
Oriah does not control and is not responsible for Third-Party Services, including their content, accuracy, availability, security, quality, pricing, fulfillment, data practices, or compliance with applicable law. Third-Party Services are governed by the third party's own terms of service, privacy policies, and other agreements, and your access to or use of any Third-Party Service is subject to those terms. Before you transact with, submit information to, or otherwise engage any third party, you should review the applicable terms and policies, including how that third party collects, uses, and discloses your information. Oriah's handling of your information is described in our Privacy Policy; the data practices of third parties are governed by their own policies, not ours.
Your dealings, communications, and transactions with any third party found on or through the Services — including any payment for and delivery of goods or services, and any terms, conditions, warranties, or representations associated with such dealings — are solely between you and that third party. You acknowledge that Oriah operates the technology platform and provides non-clinical, administrative support, and that Oriah does not practice medicine, does not provide medical advice, and does not control the independent professional judgment of the healthcare providers or the operations of any pharmacy, laboratory, or other vendor. All consultations, diagnoses, prescriptions, and medical decisions are made by the independent, state-licensed providers, not by Oriah.
If you have a dispute with a third party, including a healthcare provider, professional medical group, pharmacy, laboratory, payment processor, or carrier, you agree to pursue that dispute directly with the third party and to release Oriah (and our affiliates, members, officers, directors, employees, and agents) from any claims, demands, damages, and liabilities of every kind arising out of or connected with such dispute, to the fullest extent permitted by applicable law. 20. Disclaimer of Warranties
Your access to and use of the Services is at your sole risk. The Services, including the Oriah technology platform, the oriahwellness.com website, all related content, software, features, and the non-clinical, administrative support we provide, are made available to you on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise.
No Warranty as to Treatment Outcomes
Oriah operates a technology platform and provides non-clinical, administrative support only. Oriah does not practice medicine, does not provide medical advice, and does not guarantee any particular health, weight-loss, hormonal, longevity, sexual-health, or other clinical result. Individual responses to physician-supervised protocols, including compounded GLP-1 medications, peptide and related longevity protocols, testosterone optimization, and ED treatments, vary from person to person, and no specific outcome can be promised or assured. Any informational or educational content made available through the Services is general in nature, is not a substitute for professional medical advice, diagnosis, or treatment, and should not be relied upon as such.
No Warranty as to Independent Providers and Pharmacies
All consultations, evaluations, diagnoses, prescriptions, and medical decisions are made by independent, state-licensed healthcare providers and affiliated professional medical groups, and all medications are dispensed by licensed U.S. pharmacies. These providers, medical groups, and pharmacies are independent third parties and are not employed or controlled by Oriah. The provider–patient relationship is with those independent providers, not with Oriah, and is further governed by the separate Telehealth Informed Consent. Oriah does not select your course of treatment and exercises no control over the professional judgment of any provider or the dispensing decisions of any pharmacy.
No Emergency or Urgent Care
The Services are not intended for medical emergencies or urgent care, and the Oriah Parties make no warranty that the Services are suitable for any such purpose. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not rely on the Services for emergency, urgent, or time-sensitive medical needs.
No advice or information, whether oral or written, that you obtain from the Oriah Parties or through the Services creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions may not apply to you, in which case the disclaimers in this Section apply to the fullest extent permitted by applicable law. This Section does not affect any data-protection commitments described in our Privacy Policy.
21. Limitation of Liability
This Section allocates the risks between you and Oriah Wellness LLC ("Oriah") in connection with your access to and use of the oriahwellness.com website, mobile experiences, and related technology platform and non-clinical, administrative support services (collectively, the "Services"). Please read it carefully. As used in this Section, the "Oriah Parties" means Oriah and its parent, subsidiaries, affiliates, and their respective members, managers, officers, directors, employees, contractors, agents, suppliers, service providers, and licensors. The limitations in this Section apply to the fullest extent permitted by applicable law and are a fundamental and material basis of the bargain between you and Oriah; you acknowledge that Oriah would not provide the Services without these limitations, and that they will survive and apply even if any limited remedy in these Terms is found to have failed of its essential purpose.
Oriah operates the technology platform and provides non-clinical, administrative support only. Oriah does not practice medicine and does not provide medical advice. All consultations, diagnoses, prescriptions, and medical decisions for the services offered through the platform — including weight management (such as compounded semaglutide and compounded tirzepatide), longevity and peptide protocols, hormone therapy, and sexual health treatments — are made solely by independent, state-licensed healthcare providers and affiliated professional medical groups, and medications are dispensed by licensed U.S. pharmacies. The provider–patient relationship is with those independent providers and not with Oriah, and is governed by the separate Telehealth Informed Consent. Nothing in this Section limits, expands, or alters the responsibilities of those independent providers or pharmacies, and the Oriah Parties are not liable for the acts, omissions, clinical judgment, diagnoses, treatment decisions, prescribing, or dispensing of any independent provider, professional medical group, or pharmacy.
Emergencies and urgent medical needs
Exceptions and jurisdictional limits
Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or certain other damages, or limitations on implied warranties or the duration thereof, so some or all of the exclusions and limitations in this Section may not apply to you. In such jurisdictions, the liability of the Oriah Parties is limited to the smallest amount permitted by applicable law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, gross negligence, willful misconduct, or death or personal injury caused by the Oriah Parties' negligence to the extent such liability may not be limited as a matter of law. These limitations give you specific legal rights, and you may also have other rights that vary from jurisdiction to jurisdiction.
The Services may involve personal and health-related information; the collection, use, and protection of that information are described in our Privacy Policy. This Section applies in addition to, and does not waive or diminish, any rights or protections afforded to you under the Privacy Policy or under non-waivable provisions of applicable law. 22. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Oriah Wellness LLC ("Oriah"), its parents, subsidiaries, and affiliates, the independent, state-licensed healthcare providers and affiliated professional medical groups who provide clinical services to you, the licensed U.S. pharmacies that dispense medications, and each of their respective officers, directors, members, managers, employees, contractors, agents, licensors, suppliers, service providers, and successors (collectively, the "Indemnified Parties"), from and against any and all third-party claims, demands, actions, investigations, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and the costs of investigation and defense) (collectively, "Claims") that arise out of or relate to any of the matters described below. You acknowledge that Oriah operates the technology platform and provides non-clinical, administrative support only, that Oriah does not practice medicine or provide medical advice, and that all consultations, diagnoses, prescriptions, and medical decisions are made by the independent providers, not by Oriah.
Scope of Your Indemnification Obligation
Your obligation under this Section applies to Claims arising out of or relating to:
- Your access to or use of the Services, the oriahwellness.com website, your account, or any products, medications, or treatments obtained through the platform, including any weight-loss, longevity, hormone-therapy, or sexual-health protocols, and including any use that is unauthorized, unlawful, or inconsistent with these Terms;
- Any User Content or other information, materials, or submissions that you provide, post, transmit, or make available through the Services, including any health history, intake responses, bloodwork or laboratory results, photographs, or other information you supply, and including any claim that such content infringes, misappropriates, or violates the intellectual property, privacy, publicity, or other rights of any third party;
- The accuracy, completeness, or truthfulness of the information you provide to Oriah or to the independent providers or affiliated medical groups, including any negligent or intentional misrepresentation, omission, or falsification (such as misstating your age, U.S. residency, identity, medical history, current medications, allergies, or eligibility for treatment);
- Your breach or alleged breach of these Terms, the Privacy Policy, the Telehealth Informed Consent, or any other agreement, policy, or guideline incorporated herein by reference;
- Your violation of any applicable law, rule, or regulation, or the rights of any third party, including any other patient, provider, pharmacy, or member of the public;
- Your use, misuse, sharing, diversion, resale, or storage of any medication, product, or device obtained through the Services, including any use contrary to the directions of your prescribing provider or the product labeling, and any provision of such medication or product to any other person;
- Your failure to cancel an auto-renewing subscription before the applicable renewal date, or any dispute concerning charges incurred under your subscription; and
- Your negligence, willful misconduct, fraud, or other wrongful act or omission in connection with the Services.
Defense and Cooperation
Oriah reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Oriah in asserting any available defenses. You will not settle any Claim affecting an Indemnified Party or that requires any admission, payment, or action by an Indemnified Party without the prior written consent of Oriah, which consent will not be unreasonably withheld. This indemnification obligation is in addition to, and not in lieu of, any other rights or remedies available to the Indemnified Parties, and it survives the termination or expiration of these Terms and the closure of your account.
These Terms, including this indemnification provision, are governed by the laws of the State of Delaware, as set out elsewhere in these Terms, and are effective as of June 24, 2026. 23. Dispute Resolution; Binding Arbitration and Class Action Waiver
This Section governs the resolution of any dispute, claim, or controversy between you and Oriah Wellness LLC ("Oriah") arising out of or relating to these Terms & Conditions, the website oriahwellness.com, the Oriah technology platform, the non-clinical and administrative services Oriah provides, your subscriptions or purchases (including our weight loss, longevity, hormone therapy, and sexual health offerings), our auto-renewal and billing practices, our marketing and communications (including SMS and email), our handling of your information (as further described in our Privacy Policy), and your access through the platform to the independent, state-licensed healthcare providers and affiliated professional medical groups who deliver all clinical services and to the licensed U.S. pharmacies that dispense any medications (each, a "Dispute"). For purposes of this Section, "Dispute" is to be given the broadest meaning permitted by law and includes claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and includes claims that arose before you accepted these Terms.
Oriah operates the technology platform and provides non-clinical, administrative support only; Oriah does not practice medicine, does not provide medical advice, and is not a party to the provider–patient relationship, which exists solely between you and the independent providers. The clinical relationship is governed by a separate Telehealth Informed Consent. This Section addresses how Disputes are resolved and does not alter that allocation of responsibilities.
(a) Applicability and the Federal Arbitration Act
You and Oriah agree that the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. (the "FAA"), governs the interpretation and enforcement of this Section, and that this Section evidences a transaction involving interstate commerce. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this Section, including any claim that all or any part of this Section is void or voidable; provided, however, that a court of competent jurisdiction—and not the arbitrator—shall decide whether the Class Action and Collective Relief Waiver in subsection (e) is enforceable.
(b) Informal Resolution Required First
Before initiating any arbitration or other proceeding, you and Oriah agree to first attempt to resolve the Dispute informally and in good faith for at least sixty (60) days. This informal resolution process is a mandatory prerequisite to commencing arbitration. To begin, the complaining party must send a written Notice of Dispute to the other. If you have a Dispute, you must send your Notice of Dispute to legal@oriahwellness.com (and, if requested by Oriah, by mail to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801). If Oriah has a Dispute, we will send our Notice of Dispute to the billing or email address we have on file for you.
A Notice of Dispute must include: (i) your name, the email address associated with your account, and a mailing address; (ii) a description of the nature and basis of the Dispute; and (iii) the specific relief sought, including the amount of any monetary relief and how it was calculated. The 60-day informal resolution period begins when a complete Notice of Dispute is received. The parties will use good-faith efforts to resolve the Dispute during this period, including, if requested, an individualized telephone or videoconference discussion. Any applicable statute of limitations and any arbitration-provider filing deadline will be tolled while the parties engage in this process in good faith. A court or arbitrator may enjoin the filing or prosecution of an arbitration if the informal resolution requirement has not been satisfied.
(c) Agreement to Arbitrate
If a Dispute is not resolved through informal resolution within the 60-day period, the Dispute shall be resolved exclusively through final and binding individual arbitration, except for the limited exceptions expressly set out in subsection (g). This agreement to arbitrate is intended to be broadly interpreted and applies to Disputes with Oriah and, to the fullest extent permitted by law, to Disputes against the independent healthcare providers, affiliated professional medical groups, and licensed dispensing pharmacies that you access through the platform, as well as against Oriah's and their respective officers, directors, members, employees, agents, predecessors, successors, and assigns, each of whom is an intended third-party beneficiary of this Section.
The arbitration will be administered by a recognized, neutral arbitration provider that offers consumer arbitration services, in accordance with that provider's consumer arbitration rules then in effect, as modified by this Section. If the selected provider is unavailable or unwilling to administer the arbitration consistent with this Section, the parties will agree on an alternative provider or, failing agreement, a court of competent jurisdiction will appoint the arbitrator. The arbitration will be conducted by a single neutral arbitrator. The arbitrator may award the same individualized remedies (including statutory damages and, where authorized by law, attorneys' fees and costs) that would be available to that individual party in a court, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator's decision is final and binding and may be confirmed and enforced in any court of competent jurisdiction.
Payment of all filing, administration, and arbitrator fees will be governed by the arbitration provider's rules, except that Oriah will pay or reimburse those fees to the extent required by the provider's rules or applicable law, or where the failure to do so would render this Section unenforceable. Nothing in this Section prevents either party from informing the arbitrator of a written settlement offer.
(d) Jury Trial Waiver
(e) Class Action and Collective Relief Waiver
If a court or arbitrator decides that applicable law precludes enforcement of any of the limitations in this subsection (e) as to a particular claim for relief, then that claim for relief (and only that claim) must be severed from the arbitration and brought in a court of competent jurisdiction, with all other claims proceeding in arbitration. If this entire subsection (e) is found to be unenforceable, then the entirety of this Section (other than the Jury Trial Waiver) shall be null and void as to the Disputes at issue.
(f) Mass Filing / Batch Arbitration
To increase efficiency and reduce costs in the event of coordinated mass filings, if 25 or more similar Disputes (including yours) are submitted for arbitration against Oriah by or with the assistance, coordination, or involvement of the same or coordinated counsel or organizations, and the Disputes raise substantially common questions of law or fact, you and Oriah agree that these Disputes will be administered in staged batches of no more than 100 claimants per batch (or such other number as the arbitration provider's mass-filing rules specify), with a single arbitrator presiding over each batch.
- An initial batch of up to 100 Disputes will be selected (50 by the claimants' counsel and 50 by Oriah) and will proceed to arbitration first.
- After the initial batch is resolved, the parties will engage in a further good-faith effort, including a mediation if either party requests one, to resolve the remaining Disputes before any additional batch proceeds.
- Any applicable statute of limitations and filing deadline will be tolled for Disputes held in later batches until those Disputes are designated to proceed.
- A court of competent jurisdiction may enforce this batch-arbitration provision, including by enjoining the assessment or collection of arbitration fees, or the continued prosecution of mass filings, brought in a manner inconsistent with this subsection.
This subsection (f) does not constitute consent to class or representative arbitration, which remains prohibited under subsection (e). If the batch-arbitration procedures in this subsection are found unenforceable as to a set of Disputes, those Disputes will be resolved in individual arbitration consistent with the remainder of this Section.
(g) Arbitration Location; Small-Claims and Intellectual-Property Exceptions
Unless you and Oriah agree otherwise, any in-person arbitration hearing will take place in the U.S. county (or parish) where you reside, and the arbitration may otherwise be conducted by telephone, videoconference, or on the basis of written submissions, as permitted by the arbitration provider's rules and as the arbitrator determines. This Section does not require arbitration of the following:
- Small-claims court. Either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies and remains in that court on an individual (non-class, non-representative) basis.
- Intellectual property. Either party may bring a lawsuit in a court of competent jurisdiction solely for injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of that party's copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
Filing or maintaining either type of permitted action does not waive any party's right to compel arbitration of any other Dispute. For any matter not subject to arbitration, you and Oriah agree to the governing law and venue provisions stated elsewhere in these Terms, which are governed by the laws of the State of Delaware without regard to its conflict-of-laws principles.
(h) Your 30-Day Right to Opt Out of Arbitration
You have the right to opt out of and not be bound by the arbitration, jury-trial-waiver, and class-waiver provisions of this Section by sending written notice of your decision to opt out within thirty (30) days after the date you first accept these Terms (or, if longer, within 30 days after this arbitration provision first becomes effective as to you). Your opt-out notice must be sent to legal@oriahwellness.com (or by mail to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801) and must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement in Oriah's Terms & Conditions.
Opting out applies only to this Section and will not affect any other part of these Terms, your subscriptions or billing arrangements, or your relationship with the independent healthcare providers under the separate Telehealth Informed Consent. If you opt out within the 30-day period, neither you nor Oriah will be required to arbitrate Disputes, and each retains the right to pursue Disputes in a court of competent jurisdiction, subject to the jury-trial and venue terms that otherwise apply. If you do not opt out within 30 days, you will be deemed to have consented to this Section. This opt-out right applies only to this arbitration agreement; it is not an opt-out of any other agreement between you and Oriah. (i) Severability; Survival; Changes With Notice
Except as expressly provided in subsection (e) (Class Action and Collective Relief Waiver), if any portion of this Section is found to be unenforceable or unlawful, that portion will be severed and the remainder of this Section will continue in full force and effect. This Section survives the termination or expiration of your account, your subscriptions, and your relationship with Oriah, and survives any termination, cancellation, or change of these Terms.
Oriah may modify this Section in the future, but any material change will apply only on a going-forward basis. If Oriah makes a material change to this Section, we will provide notice (for example, by posting an updated version with a revised "Last Updated" date or by notifying you through the platform or by email). You may reject any future material change by sending written notice to legal@oriahwellness.com within thirty (30) days after the change is posted or notified, in which case the most recent version of this Section that you accepted (or to which you did not object) will govern Disputes that have accrued. This Section is current as of the Effective Date of these Terms, June 24, 2026.
24. Governing Law and Venue; Severability
Governing Law
These Terms & Conditions, together with any documents incorporated by reference (including the Privacy Policy and the Telehealth Informed Consent), and any dispute, claim, or controversy arising out of or relating to these Terms, the Oriah technology platform, our website at oriahwellness.com, or the products and services made available through it, are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any conflict-of-laws principles or rules (whether of the State of Delaware or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Delaware. This choice of governing law applies regardless of your state of residence within the United States and regardless of where you access or use the platform, except to the extent that the mandatory consumer-protection laws of the state in which you reside provide protections that cannot lawfully be waived, in which case those mandatory protections continue to apply to you. Our services are offered only to U.S. residents who are at least 18 years of age.
For clarity, Oriah Wellness LLC operates the technology platform and provides non-clinical, administrative support; it does not practice medicine, does not provide medical advice, and is not a provider of healthcare services. All consultations, diagnoses, prescriptions, and medical decisions are made by independent, state-licensed healthcare providers and affiliated professional medical groups, and medications are dispensed by licensed U.S. pharmacies. Nothing in this Section, and nothing in these Terms, alters the separate Telehealth Informed Consent that governs your relationship with those independent providers, or limits any non-waivable right you may have under applicable law with respect to that clinical relationship.
Nothing in this Section limits or alters the application of the Federal Arbitration Act, which governs the interpretation and enforcement of the arbitration provisions set forth elsewhere in these Terms. To the extent any dispute is subject to arbitration, the substantive law of the State of Delaware will govern the merits of that dispute, but the Federal Arbitration Act will govern all questions concerning the validity, scope, and enforceability of the agreement to arbitrate.
Exclusive Venue and Jurisdiction
The arbitration, class-action waiver, jury-trial waiver, and informal dispute-resolution provisions set forth elsewhere in these Terms govern the resolution of most disputes between you and Oriah. For any dispute, claim, or proceeding that is not subject to or that proceeds outside of binding arbitration — including, where applicable, any action to compel arbitration, to confirm, vacate, modify, or enforce an arbitration award, any claim for which arbitration is found not to apply, any small-claims matter that proceeds in court, or any claim seeking injunctive or other equitable relief to protect intellectual property — you and Oriah agree that such dispute will be brought and litigated exclusively in the state or federal courts located in the State of Delaware.
You and Oriah irrevocably consent and submit to the exclusive personal jurisdiction and venue of those courts, and you waive any objection to such jurisdiction or venue, including any objection based on inconvenient forum (*forum non conveniens*). You agree not to commence or prosecute any such action in any other forum. This venue provision does not deprive you of the right to bring a qualifying individual claim in a small-claims court of competent jurisdiction as permitted by the arbitration provisions of these Terms.
Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, that provision will be modified and interpreted so as to best accomplish its essential objectives and the intent of the parties to the fullest extent permitted by applicable law. If the provision cannot be so modified, it will be severed from these Terms, and such severance will not affect the validity and enforceability of the remaining provisions, which will continue in full force and effect.
Notwithstanding the foregoing, the class-action waiver and the jury-trial waiver set forth in these Terms are not severable from the arbitration provisions in the manner described above. If the class-action waiver is found to be unenforceable as to any claim or remedy, then the provisions governing arbitration of that particular claim or remedy will be governed by the specific carve-out and severability rules stated in the arbitration section of these Terms, and not by the general severability rule in this Section. The remaining claims will continue to be resolved in arbitration as provided in those Terms.
No Waiver; Survival
Our failure to enforce any provision of these Terms, or to exercise any right or remedy, will not constitute a waiver of that provision, right, or remedy, and will not limit our right to enforce it in the future. No waiver will be effective unless made in a writing signed by an authorized representative of Oriah. The provisions of this Section, including those concerning governing law, venue, jurisdiction, severability, and the non-severable waivers described above, survive any termination, cancellation, or expiration of these Terms, of any auto-renewing subscription, or of your relationship with Oriah.

25. Termination
These Terms apply each time you access or use the Services and remain in effect for as long as you maintain an account with Oriah or otherwise use the technology platform, products, or non-clinical administrative support that we provide. You are free to stop using the Services at any time. You may close your account or cancel your participation by contacting us at support@oriahwellness.com or by using the account-management or cancellation tools available through your account, subject to the cancellation timing and auto-renewal requirements described in the Subscriptions; Auto-Renewal; Cancellation section of these Terms. Closing or discontinuing use of your account does not, by itself, cancel any active auto-renewing subscription.
Suspension or Termination by Oriah
We may, in our sole discretion and to the fullest extent permitted by applicable law, suspend, restrict, deactivate, or terminate your account and your access to all or part of the Services, with or without prior notice and with or without cause, at any time. Reasons we may take such action include, without limitation:
- your actual or suspected breach of these Terms, the Privacy Policy, the Telehealth Informed Consent, or any other policy or agreement governing the Services;
- your provision of false, inaccurate, outdated, or incomplete information, including information material to clinical eligibility, identity verification, age (you must be at least 18), or U.S. residency (the Services are available only to U.S. residents);
- your attempt to use the Services through insurance, Medicare, Medicaid, or any other federal or state healthcare program, the Services being available on a cash-pay basis only;
- actual or suspected fraud, chargeback abuse, payment failure, or unauthorized, unlawful, or prohibited use of the Services, including any attempt to resell, divert, or misuse prescribed medications such as compounded GLP-1 protocols, peptide protocols, hormone therapy, or sexual-health treatments;
- conduct that we reasonably believe may harm Oriah, the independent providers, the affiliated professional medical groups, the dispensing pharmacies, other users, or any third party, or that may expose any of them to legal, regulatory, or reputational liability;
- a determination by an independent provider or affiliated medical group that continued use is not clinically appropriate, or a clinical decision to decline, pause, or discontinue care;
- our discontinuation of, or material change to, the Services or any product offering; or
- as necessary to comply with applicable law, regulation, or a request from a governmental, regulatory, or law-enforcement authority.
Where we reasonably determine that immediate action is warranted, such as to address a security risk, suspected fraud, legal obligation, or risk of harm, we may suspend or terminate access without advance notice. Nothing in this section limits any other rights or remedies available to Oriah at law or in equity.
Effect of Termination
Upon suspension or termination of your account or access, your right to use the affected Services will immediately cease, and we may deactivate or delete your account and associated platform data in accordance with the Privacy Policy and applicable law. Termination does not relieve you of, and you will remain responsible for, all charges, fees, and amounts incurred prior to or in connection with termination, including amounts owed for products, consultations, or services already rendered or shipped, and any subscription charges that have already accrued.
Except as expressly stated in these Terms or as required by applicable law, amounts already paid are non-refundable, and termination will not entitle you to a refund of any prepaid fees or of any subscription charges that have already accrued. Because Oriah operates on a cash-pay basis and does not bill insurance or any government healthcare program, no charge will be submitted to or reimbursed by any such payer upon termination.
Clinical Records and Continuity of Care
Oriah operates the technology platform and provides non-clinical, administrative support; Oriah does not practice medicine, does not provide medical advice, and is not a party to the provider–patient relationship. That relationship is between you and the independent, state-licensed healthcare providers and affiliated professional medical groups who furnish your care. Termination of your Oriah account does not by itself terminate, alter, or define any provider–patient relationship. The independent providers and affiliated medical groups may have continuing professional, ethical, and legal obligations that survive termination, including with respect to the maintenance, retention, and release of your medical records and the appropriate transition or continuity of your care. If you have terminated your account and need to access your medical records or arrange continuity of care, contact us at support@oriahwellness.com and we will, consistent with the Privacy Policy and applicable law, facilitate routing your request to the appropriate provider or medical group. Decisions regarding the discontinuation of any prescribed medication should be discussed with a qualified healthcare provider; do not stop or change a prescribed protocol, including any GLP-1, peptide, hormone, or sexual-health protocol, without appropriate clinical guidance.
Survival
Any provision of these Terms that by its nature should survive termination or expiration will survive, including, without limitation, provisions relating to intellectual property and ownership, license restrictions and acceptable use, user content and feedback, the "AS IS / AS AVAILABLE" warranty disclaimers, limitation of liability, indemnification, disclaimers regarding the practice of medicine and the operating model, payment obligations and amounts owed, binding individual arbitration, the jury-trial waiver, and the class-action waiver (including any opt-out you have made), governing law and venue, and the general/miscellaneous provisions. Termination of these Terms or of your access to the Services does not waive or limit any rights or obligations that accrued, or any liability that arose, prior to termination.

26. Changes to These Terms and the Services

Oriah Wellness LLC ("Oriah," "we," "us," or "our") may revise, update, supplement, or otherwise modify these Terms and Conditions (these "Terms") at any time and in our sole discretion. When we make changes, we will post the revised Terms on oriahwellness.com and update the "Last Updated" date at the top of the document. The current version is effective as of June 24, 2026. Unless we state otherwise, any changes become effective immediately upon posting.
If we make changes that we consider material, we may provide additional notice as required by applicable law or as we otherwise deem appropriate. Such additional notice may include, for example, posting a prominent statement on the website, sending an email to the address associated with your account, or delivering an in-account notification. The form, timing, and method of any such additional notice is within our reasonable discretion, and the absence of additional notice for any particular change does not mean the change is not effective.
It is your responsibility to review these Terms periodically so that you remain aware of any modifications. Your continued access to or use of the website, your account, or the Services after the revised Terms become effective constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may cancel your account and any active auto-renewing subscriptions in accordance with the cancellation procedures described in these Terms. Revised Terms do not apply retroactively and govern your use of the Services on a going-forward basis from their effective date.
These Terms incorporate by reference our Privacy Policy and our Telehealth Informed Consent, each of which may be updated from time to time in accordance with its own terms. The Telehealth Informed Consent separately governs your clinical relationship with the independent, state-licensed healthcare providers and affiliated professional medical groups who are solely responsible for all consultations, diagnoses, prescriptions, and medical decisions; that provider-patient relationship is with those providers and not with Oriah.
Special Notice for Changes to Arbitration
Notwithstanding anything to the contrary in this Section, any changes we make to the binding arbitration, class-action waiver, jury-trial waiver, or other dispute-resolution provisions are subject to the specific notice and opt-out procedures described in Section 23 (Dispute Resolution; Binding Arbitration; Class-Action Waiver). If we modify those provisions after the date you first accepted these Terms, you may have the right to reject the modified dispute-resolution terms in the manner and within the time period set forth in Section 23. Please review Section 23 carefully, as it affects your legal rights.
Changes to the Services
Oriah operates the technology platform and provides non-clinical, administrative support that helps connect you with independent providers and licensed U.S. pharmacies; we do not practice medicine and do not provide medical advice. The cash-pay services made available through the platform may include weight-management (GLP-1) protocols, longevity and peptide protocols, hormone-therapy protocols, and sexual-health treatments. To the maximum extent permitted by applicable law, we may, at any time and from time to time, and with or without prior notice:
- change, update, enhance, redesign, or otherwise modify the website, your account, the platform, or any of the Services, including any content, features, functionality, product offerings, available protocols, pricing, or subscription plans;
- impose, modify, or remove limits on certain features or restrict access to parts or all of the Services; and
- suspend, disable, or discontinue, temporarily or permanently, the website, your account, or any feature or component of the Services, in whole or in part.
We are not obligated to maintain, support, update, or continue to offer any particular feature, product, protocol, or aspect of the Services. The availability of any particular medication or protocol also depends on a clinical determination by an independent provider and on dispensing by a licensed pharmacy, and may change for reasons outside our control. Changes to the Services do not relieve you of any payment obligations already incurred, including amounts due under any active auto-renewing subscription, and do not affect orders or charges already processed. If a change, suspension, or discontinuation materially affects an active subscription, we will handle any applicable proration, credit, or cancellation in accordance with these Terms and applicable law.
Nothing in this Section limits your rights with respect to your clinical care, which is governed by the Telehealth Informed Consent and provided by the independent, state-licensed healthcare providers and affiliated professional medical groups, or any non-waivable rights you may have under applicable law. If you are experiencing a medical emergency, call 911 or seek immediate in-person care; the platform is not designed for emergencies. 27. Miscellaneous
This Section sets out general provisions that govern your relationship with Oriah Wellness LLC ("Oriah," "we," "us," or "our") under these Terms & Conditions (the "Terms"). These provisions apply in addition to, and do not limit, the other terms set forth elsewhere in this document, including the provisions governing dispute resolution, arbitration, auto-renewing subscriptions, warranty disclaimers, and limitations of liability.
Entire Agreement
These Terms, together with our Privacy Policy and the separate Telehealth Informed Consent (each incorporated by reference), and any product-specific, subscription, or order terms you accept at the point of purchase, constitute the entire and complete agreement between you and Oriah regarding your access to and use of the oriahwellness.com website, the technology platform, and the related non-clinical, administrative services we provide. These Terms supersede and replace any and all prior or contemporaneous agreements, communications, proposals, representations, and understandings, whether written or oral, between you and Oriah concerning the same subject matter. You acknowledge that you have not relied on any statement, promise, or representation not expressly set forth in these Terms. To the extent of any conflict between these Terms and the Telehealth Informed Consent with respect to the clinical relationship between you and the independent, state-licensed healthcare providers and affiliated professional medical groups, the Telehealth Informed Consent controls as to that clinical relationship.
Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, that provision shall be modified or limited to the minimum extent necessary so that it becomes valid and enforceable, or, if it cannot be so modified, it shall be severed from these Terms. In either case, the remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision in a particular jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction. Notwithstanding the foregoing, if the class-action waiver or jury-trial waiver set forth in the arbitration provisions of these Terms is found to be unenforceable, then the severability and survival rules stated in those arbitration provisions shall control over this Section.
Survival
Any provision of these Terms that by its nature should survive termination or expiration of these Terms or of your account will survive, including, without limitation, provisions relating to intellectual property and proprietary rights, payment and amounts owed, disclaimers of warranties, limitations of liability, indemnification, release, dispute resolution and binding arbitration, the class-action and jury-trial waivers, governing law, and these miscellaneous provisions.
No Waiver
No waiver by Oriah of any term, condition, or right under these Terms shall be deemed a further or continuing waiver of such term, condition, or right or a waiver of any other term, condition, or right. Our failure or delay in asserting or enforcing any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Oriah to be effective, and any such waiver shall apply only to the specific instance and purpose for which it is given.
Assignment
These Terms, and any rights or obligations under them, are personal to you. You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations under them, in whole or in part, whether by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this provision is null and void. Oriah may freely assign, transfer, or delegate these Terms and any of its rights and obligations under them, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, financing, sale of all or substantially all of its assets, or other change of control. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their permitted successors, and their permitted assigns.
No Agency or Partnership
Nothing in these Terms creates, and the parties do not intend to create, any partnership, joint venture, agency, franchise, sales representative, fiduciary, or employment relationship between you and Oriah. As described throughout these Terms, Oriah operates the technology platform and provides non-clinical, administrative support only; Oriah does not practice medicine, does not provide medical advice, and is not a healthcare provider. The independent, state-licensed healthcare providers and affiliated professional medical groups that provide all consultations, diagnoses, prescriptions, and medical decisions, and the licensed U.S. pharmacies that dispense medications, are independent third parties and are not agents, partners, employees, or joint venturers of Oriah. Neither you nor Oriah has any authority to bind the other or to incur any obligation on the other's behalf, and you may not make any representation to the contrary.
No Third-Party Beneficiaries
Except as expressly provided in these Terms, these Terms are for the sole benefit of you and Oriah and our respective permitted successors and assigns, and nothing in these Terms, whether express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature under or by reason of these Terms. Notwithstanding the foregoing, the independent, state-licensed healthcare providers and affiliated professional medical groups, the licensed U.S. pharmacies, and our affiliates, officers, directors, employees, agents, and service providers are intended third-party beneficiaries of, and entitled to enforce, the provisions of these Terms that disclaim warranties, limit liability, provide for release and indemnification, and require arbitration of disputes.
Force Majeure
Oriah will not be liable or responsible for, nor be deemed to have defaulted under or breached these Terms for, any failure or delay in performing any obligation under these Terms when and to the extent such failure or delay is caused by or results from events or circumstances beyond our reasonable control. Such events include, without limitation, acts of God; flood, fire, earthquake, or explosion; epidemics, pandemics, or other public health emergencies; war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; government order, law, or action, including any change in regulation affecting telehealth, compounded medications, or pharmacy operations; embargoes or blockades; national or regional emergencies; strikes, labor stoppages or slowdowns, or other industrial disturbances; shortages of, or inability to obtain, supplies, materials, medications, active pharmaceutical ingredients, or pharmacy or telecommunications services; supply-chain or pharmacy disruptions; power or utility failures; and failures, interruptions, or attacks involving the internet, networks, hosting providers, or other technology or communications infrastructure. If such an event occurs, our affected obligations will be suspended for the duration of the event. This provision does not excuse your obligation to pay any amounts owed for services already rendered.
U.S. Residents Only
Oriah's website, technology platform, and services are intended solely for residents of the United States who are at least eighteen (18) years of age. Services are offered on a cash-pay basis only; Oriah does not accept commercial insurance or any federal or state healthcare program, including Medicare and Medicaid. We make no representation that the website, the platform, or any service or product is appropriate, available, or lawful for use outside the United States, and access from jurisdictions where any content or offering is illegal is prohibited. If you access the website or services from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws.
Headings for Convenience
The section and subsection headings, titles, and anchor labels used in these Terms are provided for convenience and reference only, and do not constitute part of these Terms, limit, expand, or otherwise affect the scope or meaning of any provision, and shall not be used to interpret or construe any provision of these Terms. Words such as "including" and "such as" are deemed to be followed by the phrase "without limitation."
California Civil Code Section 1542 Waiver
To the fullest extent permitted by law, to the extent you release, discharge, or waive any claims against Oriah under these Terms, you intend such release to apply to all claims, whether known or unknown, that you may have against Oriah. If you are a resident of California, you expressly waive and relinquish the protections of California Civil Code Section 1542, and any similar law of any other jurisdiction, with respect to any such released claims.
Equitable Remedies and Injunctive Relief
You acknowledge and agree that any actual or threatened breach by you of the provisions of these Terms governing intellectual property, proprietary rights, license restrictions, or acceptable-use and use restrictions would cause Oriah irreparable harm for which monetary damages would not be an adequate remedy. Accordingly, in the event of any such actual or threatened breach, Oriah shall be entitled to seek injunctive relief, specific performance, and other equitable remedies from a court of competent jurisdiction, without the necessity of posting a bond or other security and without the obligation to prove actual damages. This right is in addition to, and not in lieu of, any other rights or remedies available to Oriah at law or in equity. Nothing in this provision limits the parties' agreement to arbitrate as set forth elsewhere in these Terms, including the provisions permitting either party to seek relief in court for matters within those carve-outs.
Notices
Except where these Terms specify another method, any notice you are required or permitted to give to Oriah must be in writing and sent to the appropriate address below. Legal notices must be sent to legal@oriahwellness.com or by mail to Oriah Wellness LLC, 901 N Market Street, Suite 100, Wilmington, DE 19801. General support inquiries may be directed to support@oriahwellness.com. Notices sent by email are deemed given on the date sent (provided no bounce or delivery-failure message is received), and notices sent by mail are deemed given three (3) business days after deposit with a recognized carrier or the U.S. Postal Service.
Except where applicable law requires otherwise, you consent to receive notices and other communications from Oriah electronically, including by email to the address associated with your account, by text message where you have provided consent, and by posting notices on oriahwellness.com. You agree that all such electronic communications satisfy any legal requirement that a communication be in writing. Notices to you are deemed given when sent to the email or mobile number on file or when posted, and it is your responsibility to keep your contact information current. These Terms are effective as of, and were last updated on, June 24, 2026, and are governed by the laws of the State of Delaware as further described elsewhere in these Terms.

Oriah operates the technology platform and provides non-clinical, administrative support only. Communications sent to the addresses above are received and handled by Oriah and relate to your use of our platform, your account, and your subscription. Oriah does not practice medicine and does not provide medical advice through these channels.
Questions about consultations, diagnoses, prescriptions, dosing, side effects, lab work, or any other clinical matter should be directed to the independent, state-licensed healthcare providers and affiliated professional medical groups responsible for your care, with whom your provider–patient relationship exists. Messages you send to Oriah on clinical topics may be routed to those independent providers, but Oriah cannot answer medical questions on their behalf.
For questions about how we collect, use, and share your information, please also review our Privacy Policy. The clinical relationship and the terms of your care are separately governed by the Telehealth Informed Consent you agree to before treatment.

All consultations, diagnoses, prescriptions, and medical decisions are made by independent, state-licensed healthcare providers. These Terms do not replace, and are in addition to, the Telehealth Informed Consent and the Privacy Policy.
